Common use of Grid Connectivity Clause in Contracts

Grid Connectivity. (i) The SPD shall be required to obtain all information/approvals from PSPCL/PSTCL (as the case may be) and concerned authority with regard to the Interconnection Facilities, necessary to enable it to design, install and operate Plant and all interconnecting apparatus/ equipment on the SPD‟s side of the Delivery Point to enable delivery of electricity at the Interconnection/ Metering/Delivery Point. (ii) The SPD shall be responsible for getting the grid connectivity and long term access (LTA) from PSPCL/PSTCL, as the case may be, at it‟s own cost. For interconnection with the grid and metering, the SPD shall abide by the applicable Grid Code, Grid Connectivity Standards, Regulations on Communication System for transmission of electric power and other regulations (as amended from time to time) issued by Appropriate Commission and Central Electricity Authority (CEA). (iii) The responsibility of getting connectivity with the transmission system up to interconnection /Metering/Delivery point shall be entirely of the SPD to be obtained at its cost. The transmission of power up to the point of interconnection where the metering is done for energy accounting shall also be the responsibility of the SPD at its own cost. The maintenance of Transmission system up to the interconnection /Metering/Delivery point shall be the responsibility of the SPD at it‟s own cost. However, capital maintenance/major overhaul of the Generating Facility shall not be scheduled in “Paddy Season” i.e. 15th June to 15th October of any year. (iv) The entire cost of transmission including cost of construction of line, interconnection facilities, any other charges, losses etc. from the Project up to the Interconnection/ Metering/Delivery Point shall be borne by the SPD and the same will not be reimbursed by PSPCL. In case of non- availability of Grid and Transmission System during Term of this Agreement, for reasons not attributable to the SPD, the provisions of Article 3.4, 3.5 & 3.6 shall be applicable. (v) The SPD shall apply for Grid Feasibility Clearance to Chief Engineer/Panning, PSPCL or any other designated office of PSPCL and fulfill all formalities required for feasibility clearance like technical details of Grid Sub Station of PSPCL/ PSTCL to be connected with, transmission lines etc. After receipt of all requisite documents, PSPCL shall grant feasibility clearance within a period of 60 days after registration of the application of feasibility Clearance to the satisfaction of concerned authority/ office of PSPCL. If there is a change in the site of Project/ Substation/ name of the company/ capacity of the project or any such conditions on the part of the SPD requiring fresh look in grant of grid feasibility, a fee of Rs. 1,00,000/- will be charged for grant of revised grid feasibility for projects. However, in case the change of site is due to refusal by PSPCL to grant the feasibility clearance for the first site proposed by the SPD on technical ground, in that case the extra fee will not be charged. (vi) The delay in case of revised feasibility clearance shall be the sole responsibility of the SPD in any case and no extension in Scheduled Commercial Operation Date shall be granted on this account. It is reiterated that PSPCL shall not be responsible for the delay caused due to fresh Feasibility Clearance and the SPD shall be solely responsible for meeting the timelines including the financial closure. (vii) Notwithstanding anything contained in this document, the SPD shall pay grid connectivity charges, as finalized by PSPCL/ PSTCL (as the case may be), for creation of proper facility for receiving power at the receiving substation of PSPCL/PSTCL as deposit work basis on behalf of SPD. These charges shall be paid by the SPD to PSPCL/PSTCL, as the case may be. The charges shall include cost of complete line bay and related switchgear (including O&M cost and civil works) and its inter-connections with existing electrical system i.e. bus bar. (viii) For grid connectivity/construction of bay to be arranged by PSPCL/PSTCL on request of SPD, the SPD shall submit a time frame for construction of their plant. PSPCL/PSTCL shall provide the inter-connection facility one month before the scheduled COD as intimated by the Developer subject to condition that the grid connectivity charges are deposited by the Developer/Power Producer and sufficient time is available with PSPCL/PSTCL for creating the interconnection facility. (ix) All costs and charges including but not limited to the wheeling charges and losses up to and including at the Delivery Point associated with interconnection facilities shall be borne by the SPD without any reimbursement by PSPCL. (x) The SPD shall be responsible for complying with the PSERC regulations on Forecasting, Scheduling and Deviation Settlement, as applicable and for all liabilities related to Connectivity. For matters relating to grid operations and load dispatch, the directions of the PSPCL/PSTCL/Punjab State Load Dispatch Centre and provisions of State Grid Code/PSERC Regulations shall be strictly complied with by the SPD. (xi) Penalties, fines and charges imposed by the STU under any statute or regulation in relation to delay in commissioning of Project shall be payable by the SPD and the same will not be reimbursed by PSPCL. (xii) In case of Pooling substation, losses in the transmission line shall be apportioned among the SPDs who share such a Pooling arrangement, based on their monthly generation. (xiii) The SPD shall be responsible to for directly coordinating and dealing with PSTCL, Punjab Load Dispatch Center, and other authorities in all respects in regard to declaration of availability, scheduling and dispatch of Solar Power and due compliance with deviation and settlement mechanism and the applicable Grid code Regulations, acknowledging that the SPD and PSPCL are the Grid connected entities in respect of the Solar Power contracted under this Agreement. (xiv) SPD shall install the Protective equipment and interlocking devices in the switchyard of the project only after coordinating with PSPCL/PSTCL (as the case may be). For this purpose the SLD, protection and metering system shall be got approved from PSPCL/PSTCL by the SPD. Routine checking/testing shall be carried out of the SPD's substation/ equipment on the same basis as is being done for PSPCL/PSTCL‟s Sub-Station. (xv) PSPCL shall have the right to designate from time to time its officers/officials who shall be responsible for inspecting the Generating Facility for the purpose of verifying the SPD‟s compliance with this Agreement. (xvi) All electric equipments installed shall be consistent with the orders of the Chief Electrical Inspector, Government of Punjab and in line with State Grid Code. (xvii) Notwithstanding the provisions of this Agreement, the PSPCL/PSTCL will not be responsible for any damage that may occur to the Generating Facility with the PSPCL/PSTCL‟s system.

(xivi) Penalties, fines and charges imposed by the STU CTU/ STU/ISTS Licensee under any statute or regulation in relation to delay in commissioning of Project shall be payable by the SPD and the same will not be reimbursed by PSPCL. (xiivii) All expenses including wheeling charges and losses between the Project and the Delivery Point shall be paid by the SPD without any reimbursement by PSPCL. SPD acknowledges and accepts that ISTS charges in relation to the transmission and distribution beyond the Delivery Point up to Punjab periphery are presently exempted for all solar projects achieving CoD till 30.06.2025 for a period of 25 years from CoD. (viii) If the commissioning of the Project gets delayed beyond the applicable date of ISTS waiver due to Force Majeure event, the Ministry of Power, Government of India Notification No. 23/12/2016-R&R Dated 15.01.2021 provides for extension of the waiver. However, in case the waiver is not applicable for any reason, including in cases where the commissioning of the Project gets delayed beyond the applicable date of ISTS waiver, the liability of transmission charges up to Punjab periphery would be that of the SPD. Further, the liability of transmission losses up to Punjab periphery would also be of the developer. Further no change in charges/losses of CTU/ISTS Licensee shall be covered under Change in Law provision for any increase in tariff under this Agreement. (ix) In case of Pooling substation, losses in the transmission line shall be apportioned among the SPDs who share such a Pooling arrangement, based on their monthly generation. (xiiix) The SPD shall be responsible to for directly coordinating and dealing with PSTCLPSPCL, Punjab Load Dispatch CenterCenters, Regional Power Committees, and other authorities in all respects in regard to declaration of availability, scheduling and dispatch of Solar Power and due compliance with deviation and settlement mechanism and the applicable Grid code Regulations, acknowledging that the SPD and PSPCL are the Grid connected entities in respect of the Solar Power contracted under this Agreement.
