Grid Connection. Each Company has secured all the material grid connection arrangements necessary or desirable for carrying on its business prior to and after Closing and has complied and is in compliance, in all material respects, with all obligations and requirements deriving thereunder. The documentation provided by the Seller to ▇▇▇▇▇ ▇▇▇ as representative of the Purchaser contains all relevant information and provides a true, correct and complete representation of the existing grid connection arrangements of the Companies. None of the Companies is in breach of any of its material obligation under any material grid connection agreement to which such Company is a party, nor under any applicable Permit, law or regulation (including towards the Italian Customs Agency (Agenzia delle Dogane) in a way that would entitle any governmental entity to revoke or materially reduce the feed-in tariff or other applicable incentive; or otherwise entitle any governmental entity or the grid operator to suspend the grid connection of any plant or to impose any sanction on any Company.
