Common use of Government Consent Clause in Contracts

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents.

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower any Loan Party to authorize, or is required in connection with the executionsigning, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents, except for any necessary filing or recordation of or with respect to any of the Collateral Documents.

No order, consent, adjudication, approval, license, authorization authorization, or validation of, or filing, recording or registration with, or exemption by, or other action in respect of any governmental or public body or authority authority, or any subdivision thereof, which has not been obtained by the Borrower or any of its Restricted Subsidiaries, is required on the part of to be obtained by the Borrower to authorize, or is required any of its Restricted Subsidiaries in connection with the executionexecution and delivery of the Loan Documents, delivery the borrowings under this Agreement, the payment and performance of, by the Borrower of the Obligations or the legality, validity, binding effect or enforceability of, of any of the Loan Documents.

No orderauthorization, consent, approval, license, authorization exemption of or validation of, or filing, recording filing or registration withwith any court or governmental department, commission, board, bureau, agency or exemption byinstrumentality, any governmental domestic or public body foreign, is or authority is required on will be necessary to the part of the Borrower to authorize, or is required in connection with the valid execution, delivery and or performance of, by it of this Agreement or the legality, validity, binding effect any other document contemplated hereby or enforceability of, the Loan Documentsreferred to herein.

No order, consent, approval, license, order or authorization or validation of, or filingdesignation, recording registration, declaration or registration filing with, any federal, state, local or exemption by, any other governmental or public body or authority is required on the part of the Borrower to authorize, or Purchaser is required in connection with the execution, valid execution and delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documentsof this Agreement.

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Credit Documents.

No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower or any Subsidiary to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan DocumentsDocuments to which it is a party.

No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower Company or any Subsidiary to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, this Agreement or any of the Loan Related Documents.

No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents.or

No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower any Loan Party to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan DocumentsDocuments to which such Loan Party is a party.

Government Consent. No order, consent, approvalpermit, license, authorization license or validation approval of, or filing, recording other action by or registration any notice to or filing or exemption with, any court or exemption by, any administrative or governmental or public body or authority is was required on the part of the Borrower pursuant to authorize, or is required applicable Law in connection with the execution, execution and delivery of the Services Agreement or was or is required pursuant to applicable Law in effect as of the date hereof in connection with the execution and performance of, delivery of this Consent or the legality, validity, binding effect Services Agreement or enforceability of, the Loan Documentsperformance by the Company of its obligations hereunder or thereunder.

No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower or any Domestic Subsidiary to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents.

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower any Loan Party to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents to which it is a party, except for any necessary filing or recordation of or with respect to any of the Security Documents.

Government Consent. No order, consent, approval, license, authorization authorization, or validation of, or filing, recording recording, or registration with, or exemption by, by any governmental or public body or authority is required on the Borrower’s part of the Borrower to authorize, or is required in connection with with, the execution, delivery delivery, and performance of, or the legality, validity, binding effect effect, or enforceability of, the Loan Transaction Documents.

Government Consent. No order, consent, approval, ------------------ license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Holdings or any Borrower to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Holdings Documents or the Borrower Loan Documents, except for any necessary filing or recordation of or with respect to any of the Security Documents.

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower either Seller to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, this Agreement, the Loan DocumentsGuaranties and the Assignments.

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the any Borrower or any Guarantor to authorize, or is required on the part of any Borrower or any Guarantor in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents.. Section 7.5

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents, other than the filing of UCC-1 financing statements.

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Parent, the Borrower or any of their Subsidiaries to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents to which it is a party, except for any necessary filing or recordation of or with respect to any of the Security Documents.

Government Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower or any Subsidiary to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents, except for those filings which have been made or obtained and any necessary filing or recordation of or with respect to any of the Security Documents.

No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower Sellers to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Related Documents.

No order, consent, approval, license, authorization or validation of, of or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, of the Loan Documents, except for any necessary filing or recordation of or with respect to any of the Security Documents.
