Governing Procedures. Except as expressly provided herein, the arbitration shall be conducted in accordance with applicable New York law regarding arbitration. To the extent that a matter is not addressed by this Agreement or New York law, the arbitration shall be conducted with reference to the AAA Guidelines. The action of a majority of the members of the arbitration Panel shall govern and their decision in writing shall be final and binding on the Parties hereto.
