(a) THIS AGREEMENT AND THE OTHER CREDIT DOCUMENTS AND THE RIGHTS AND OBLIGATIONS OF THE PARTIES HEREUNDER AND THEREUNDER AND ANY CLAIM OR CONTROVERSY RELATED TO THIS AGREEMENT SHALL BE CONSTRUED IN ACCORDANCE WITH AND BE GOVERNED BY THE LAW OF THE STATE OF NEW YORK. Any legal action or proceeding with respect to this Agreement or any other Credit Documents may be brought in the courts of the State of New York sitting in New York County or of the United States for the Southern District of New York, and, by execution and delivery of this Agreement, the Borrower hereby irrevocably accepts for itself and in respect of its property, generally and unconditionally, the jurisdiction of the aforesaid courts. The Borrower further irrevocably consents to the service of process out of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to it at its address for notices pursuant to Section 12.3, such service to become effective 30 days after such mailing. Nothing herein shall affect the right of the Administrative Agent or any Lender to serve process in any other manner permitted by law or to commence legal proceedings or otherwise proceed against any Loan Party in any other jurisdiction.

The Borrower further irrevocably consents to the service of process out of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to it the Borrower located outside New York City and by hand delivery to the Borrower located within New York City, at its address for notices pursuant to Section 12.312.03, such service to become effective 30 days after such mailing. The Borrower hereby irrevocably designates appoints and empowers CT Corporation System, with offices on the date hereof located at 0000 Xxxxxxxx, Xxx Xxxx, Xxx Xxxx 00000, as its agent for service of process in respect of any such action or proceeding. Nothing herein shall affect the right of the Administrative Agent or any Lender Bank to serve process in any other manner permitted by law or to commence legal proceedings or otherwise proceed against any Loan Party the Borrower in any other jurisdiction.

The Borrower further irrevocably consents to the service of process out of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to it the Borrower at its address for notices pursuant set forth opposite its signature below (or to Section 12.3such other address as the Borrower may from time to time notify the Agent in writing), such service to become effective 30 days after such mailing. Any legal action or proceeding with respect to this Agreement or any other Credit Documents may be brought in the courts of the State of New York sitting in New York County or of the United States for the Southern District of New YorkEACH PARTY HERETO EXPRESSLY CONSENTS TO PERSONAL JURISDICTION OF ANY STATE OR FEDERAL COURT SITTING IN SEATTLE, and, by WASHINGTON. By execution and delivery of this Agreement, the Borrower each party hereto hereby irrevocably accepts for itself and in respect of its property, generally and unconditionally, the exclusive jurisdiction of the aforesaid such courts. The Borrower Each party hereto further irrevocably consents to the service of process out of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to it at its the address set out for notices pursuant to Section 12.310.1, such service to become effective 30 three days after such mailing. The Borrower Company further irrevocably consents to the service of process out of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to it at its address for notices pursuant to Section 12.3the Company, such service to become effective 30 days after such mailing. Any legal action or proceeding with respect to this Agreement agreement or any other Credit Documents credit document may be brought in the courts Courts of the State of New York sitting in New York County or of the United States for the Southern District of New York, and, by execution and delivery of this Agreementagreement, the Borrower Company hereby irrevocably accepts for itself and in respect of its property, generally and unconditionally, the jurisdiction of the aforesaid Courts. Each Credit Party hereby further irrevocably waives any claim that such courts lack jurisdiction over such Credit Party, and agrees not to plead or claim, in any legal action or proceeding with respect to this Agreement or any other Credit Document brought in any of the aforesaid courts, that any such court lacks jurisdiction over such Credit Party. The Borrower further Company irrevocably consents to the service of process out of any of the aforementioned courts Courts in any such action or proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to it the Company at its address for notices pursuant to Section 12.3set forth opposite its signatures below, such service to become effective 30 days after such mailing. Nothing herein shall affect the right of the Administrative Agent under this Agreement, any lender or the holder of any Lender note to serve process in any other manner permitted by law or to commence legal proceedings or otherwise proceed against any Loan Credit Party in any other jurisdiction.

Any legal action or proceeding between the Borrower and any other party to this Agreement or any other Credit Document arising out of or with respect to this Agreement or any other Credit Documents may Document must be brought (a) prior to the Plan Effective Date, in the Bankruptcy Court and (b) at any time thereafter, in the state courts of the State of New York sitting located in the County of New York County or in the courts of the United States for the Southern District of New York, and, by execution and delivery of this Agreement, the Borrower hereby irrevocably accepts for itself and in respect of its property, generally and unconditionally, submits to the non-exclusive jurisdiction of such courts for the aforesaid courtspurpose of any such suit, action or proceeding or judgment.
