Governing Law Judicial Reference. This Agreement will be governed by federal law applicable to Lender and, to the extent not preempted by federal law, the laws of the State of California without regard to its conflicts of law provisions. That certain Judicial Reference Agreement among Lender, ▇▇▇▇▇▇▇▇ and Guarantor, as amended or replaced from time to time, is hereby incorporated into this Agreement by this reference.
