Common use of Good Standings Clause in Contracts

Good Standings. The Administrative Agent shall have received good-standing certificates (or similar instrument, if applicable) and bring-down telegrams or facsimiles, with respect to entities incorporated or formed under the Requirements of Law of any jurisdiction for the Company and the Credit Parties which the Administrative Agent reasonably may have requested, certified by proper governmental authorities.

Good Standings. The Administrative Agent shall have received good-standing certificates (of good standing, existence or similar instrument, if applicable) and bring-down telegrams or facsimiles, its equivalent with respect to entities incorporated each Credit Party (other than the Subsidiary Guarantors) certified as of a recent date by the appropriate governmental authorities of the state or formed under the Requirements other jurisdiction of Law of any jurisdiction for the Company and the Credit Parties which the Administrative Agent reasonably may have requestedincorporation or formation, certified by proper governmental authoritiesas applicable.
