Common use of Good Standings Clause in Contracts

Good Standings. The Administrative Agent shall have received for each Loan Party customary certificates of good standing, existence or its equivalent with respect to such Loan Party in its state of incorporation or organization, as applicable.

Good Standings. The Administrative Agent shall have received for each Loan Party customary “bring-down” certificates of good standing, existence or its equivalent with respect to such Loan Party in its state of incorporation or organization, as applicable.

Good Standings. The Administrative Agent shall have received for each Loan Party customary certificates a good standing certificate, a certificate of good standing, existence or its equivalent with respect to such Loan Party in its state of incorporation or organizationdocument, as applicable, certified by the proper governmental authorities of the jurisdiction of such Loan Party’s incorporation and dated on or about the Fourth Restatement Effective Date.

The Administrative Agent shall have received for each Loan Party customary certificates (except for Transcultural Health Development, Inc.) a good standing certificate, a certificate of good standing, existence or its equivalent with respect to such Loan Party in its state of incorporation or organizationdocument, as applicable, certified by the proper governmental authorities of the jurisdiction of such Loan Party’s incorporation and dated on or about the Third Restatement Effective Date.

The Administrative Agent shall have received for each Loan Party customary certificates a “short-form” good standing certificate, a certificate of good standing, existence or its equivalent with respect to such Loan Party in its state of incorporation or organizationdocument, as applicable, certified by the proper governmental authorities of the jurisdiction of such Loan Party’s incorporation and dated on or around the Fifth Amendment Effective Date.
