Common use of Going Concern Clause in Contracts

Going Concern. The Company has no knowledge (upon receipt of the proceeds of this transaction) that the Company’s independent public accountants will issue an audit letter containing a “going concern” opinion or other qualification in connection with the Company’s annual report on Form 10-KSB pursuant to Section 13 or 15(d) under the Exchange Act for the fiscal year ended December 31, 2005.

Going Concern. The Company has and the Subsidiaries have no knowledge (upon receipt of the proceeds of this transaction) that Xxxxxx, Xxxxxxx & Xxxxxxx, the Company’s independent public accountants accountants, will issue an audit letter containing a “going concern” opinion or other qualification in connection with the Company’s annual report on Form 10-KSB K pursuant to Section 13 or 15(d) under the Exchange Act for the fiscal year ended December 31, 20052008 or otherwise.
