Common use of Going Concern Clause in Contracts

The Company and the Subsidiaries have no knowledge (upon receipt of the proceeds of this transaction) that Ernst & Young LLP, the Company’s independent public accountants, will issue an audit letter containing a “going concern” opinion for the Company’s current annual report on Form 10-K pursuant to Section 13 or 15(d) under the Exchange Act.
