Common use of General Immunity Clause in Contracts

General Immunity. Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Agent nor any of its directors, officers, employees, agents or employees advisors shall be liable to the Borrower, any of the Lenders or any Lender for any action taken or omitted to be not taken by it or them hereunder or under any other Loan Document or in connection herewith with this Agreement or therewith except to any of the extent such action other Transaction Documents (a) with the consent or inaction is at the request of the Required Lenders or (b) in the absence of its own gross negligence or willful misconduct as determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Personin a final, nonappealable order.

Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Credit Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such PersonPerson (IT BEING THE INTENTION OF THIS PROVISION THAT THERE SHALL BE NO LIABILITY ARISING SOLELY OUT OF OR BY REASON OF THE ORDINARY NEGLIGENCE OF ANY OF THE PARTIES BEING REIMBURSED).

Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders WPC or any Lender Bank for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document Paper or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

General Immunity. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders any Subsidiary, or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Personthe Administrative Agent or any its directors, officers, agents or employees, as the case may be.

General Immunity. Neither the Agent nor any of its directors, officers, agents agents, or employees shall be liable to any of the Borrower, Borrowers or any of the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith with any Loan Document except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined found in a final non-appealable judgment by a court of competent jurisdiction to have arisen solely from the gross negligence or Gross Negligence, willful misconduct or breach of contract of such Person.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender or Holder of Secured Obligations for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final final, non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders Borrower or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith therewith, except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action for its or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the their own gross negligence or willful misconduct and except for any liability of such Personthe Agent for breach of an express agreement made by the Agent herein to take or not take actions based on the approval or direction of a requisite number of Lenders.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith therewith, except to the extent such action for its or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the their own gross negligence or willful misconduct of such Personmisconduct.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the any Lenders or any Lender Issuer for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Facility Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders any Borrower or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith therewith, whether sounding in tort, contract or otherwise except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen arises from the gross negligence or willful misconduct of such Person.

Neither the Administrative Agent nor any of its directors, officers, agents agents, employees or employees legal counsel shall be liable to the Borrower, the Lenders Holders of Secured Obligations or any Lender Holder of Secured Obligations for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined found in a final non-appealable judgment by a court of competent jurisdiction to have arisen solely from the gross negligence Gross Negligence or willful misconduct of such Person.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the any Borrower, the Lenders any Subsidiary, any Lender or any Lender Holder of Obligations for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final final, non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender or any Issuing Bank for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final final, non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the BorrowerParent, the Lenders Borrower or any Lender Bank for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document Paper or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Agent Agent, nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender responsible for any action taken or omitted to be taken by it any of them nor for any action taken or them hereunder omitted to be taken in connection herewith, or under with respect to the Loans contemplated by the Loan Agreement, except for any other Loan Document action taken or omitted to be taken as to which a final judicial determination has been or is made (in a proceeding in which such Person has had an opportunity to be heard) that such Person had acted in a grossly negligent manner or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Personmisconduct.

General Immunity. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the BorrowerBorrowers, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

Neither the Administrative Agent nor any of its Affiliates nor any of their respective Affiliates, directors, officers, agents or employees shall be liable to the Borrower, the Lenders Borrower or any Issuing Lender, Swing Line Lender or Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined found in a final non-appealable judgment by a court of competent jurisdiction to have arisen solely from the gross negligence Gross Negligence or willful misconduct of such Person.

Neither the Administrative Agent nor any of its respective directors, officers, agents or employees shall be liable to either of the BorrowerBorrowers, the Guarantors, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined found in a final non-appealable judgment by a court of competent jurisdiction to have arisen solely from the gross negligence Gross Negligence or willful misconduct of such Person.

General Immunity. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders Lenders, any Lender, the LC Issuers or any Lender LC Issuer for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

General Immunity. Neither the Agent Agent, the Sustainability Structuring Agent, any Arranger nor any of its their respective directors, officers, agents or employees employees, in each case acting in its capacity as Agent and not as Lender, shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except for its or their breach of the their obligations hereunder or thereunder or to the extent such action or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person.

General Immunity. Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the any Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Credit Document or in connection herewith or therewith except to the extent such action for its or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the their own gross negligence or willful misconduct of such Personmisconduct.

General Immunity. Neither the Administrative Agent nor any of its directors, officers, agents agents, employees or employees legal counsel shall be liable to the Borrower, the Lenders Holders of Secured Obligations or any Lender Holder of Secured Obligations for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined found in a final non-appealable judgment by a court of 114 competent jurisdiction to have arisen solely from the gross negligence Gross Negligence or willful misconduct of such Person.

General Immunity. Neither the Agent nor any of its directors, ---------------- officers, agents or employees shall be liable to the either Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Credit Document or in connection herewith or therewith except to the extent such action for its or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the their own gross negligence or willful misconduct of such Personmisconduct.

Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action or inaction is determined in a final non-non- appealable judgment by a court of competent jurisdiction to have arisen from the gross negligence or willful misconduct of such Person. 10.4.

General Immunity. Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action for its or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the their own gross negligence or willful misconduct misconduct, or with respect to the liability of any Lender, for the failure of such PersonLender to fund a Loan when required under the terms of this Agreement.

General Immunity. Neither the Agent nor any of its directors, officers, agents or employees shall be liable to the Borrower, the Lenders or any Lender for any action taken or omitted to be taken by it or them hereunder or under any other Loan Document or in connection herewith or therewith except to the extent such action for its or inaction is determined in a final non-appealable judgment by a court of competent jurisdiction to have arisen from the their own gross negligence or willful misconduct of such Personmisconduct.
