GENERAL AND SUPPLEMENTARY. 10.1 A transfer of property or liabilities under this Agreement does not affect the validity of anything done by or in relation to SW before the relevant Transfer Date. 10.2 This Agreement shall be governed by and construed in accordance with the Law of Scotland. The parties irrevocably agree that the courts of Scotland shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement. 10.3 At all times, the parties to this Agreement shall (each at its own cost) do or procure to be done all acts and things and/or execute or procure the execution of all documents required to vest in Business Stream the property and liabilities to be transferred to Business Stream in terms of this Agreement. 10.4 Neither party shall be entitled to assign or otherwise transfer its rights and/or obligations under this Agreement without the written consent of the other party.
