Common use of Future Information Clause in Contracts

Future Information. All Information furnished or to be furnished to the Administrative Agent or the Banks by or on behalf of the Borrower or any Subsidiary on or after the Restated Agreement Date in connection with or pursuant to the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documents, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information prepared in the ordinary course of business, be complete and correct in the light of the purpose prepared, and, in the case of any Information required by the terms of the Loan Documents or the preparation of which was requested by any Bank, be complete and correct to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Agent or any Bank shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iii).

Future Information. All Information furnished or to be furnished to the Administrative Agent or the Banks by or on behalf of the Borrower or any Subsidiary RBMG on or after the Restated Syndicated Credit Agreement Effective Date in connection with or pursuant to any of the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, any of the Loan Documents, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information prepared in the ordinary course of business, be complete and correct in all material respects and in the light of the purpose for which it was prepared, and, in the case of any Information required by the terms of any of the Loan Documents or the preparation of which was requested by any Bank, be complete and correct to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Agent or any Bank shall constitute a representation Representation and warranty Warranty by the Borrower RBMG made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iii).

Future Information. All Information furnished or to be furnished to the Administrative Agent or the Banks Bank by or on behalf of the Borrower or any Subsidiary Loan Party on or after the Restated Agreement Date in connection with or pursuant to the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documents, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information prepared in the ordinary course of business, be complete and correct in the light of the purpose prepared, and, in the case of any Information required by the terms of the Loan Documents or the preparation of which was is requested by any the Bank, be complete and correct in light of the circumstances under which the Information is delivered to the extent necessary to give such the Bank true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material fact` in light of the circumstances under which the Information is delivered, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were are made, and the furnishing of the same to the Administrative Agent or any Bank shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), (ii) ). and (iii).

Future Information. All Information furnished or to be furnished to the Administrative Agent or the Banks Bank in writing by or at the direction of Borrower or, to Borrower's knowledge, the Novogyne Joint Venture, on behalf of the Borrower or any Subsidiary on or and after the Restated Agreement Date in connection with or pursuant to the Loan Documents this Agreement or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documentsthis Agreement, shall, at the time the same it is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information such prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any Information such required by the terms of the Loan Documents this Agreement or the preparation of which was requested by any Bank, be complete and correct in all material respects to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were mademisleading, and the furnishing of the same them to the Administrative Agent or any Bank shall constitute a representation Representation and warranty Warranty by the Borrower made on the date the same they are so furnished to Bank to the effect specified in clauses (ia), (iib) and (iiic).; provided, however, Borrower represents and warrants that all plans, projections and

Future Information. All Information furnished (other than financial statements delivered pursuant to Section 5.01(a) or to be (b)) furnished to the Administrative Agent or the Banks in writing by or on behalf of the Borrower or any Restricted Subsidiary and concerning such Person, and not the wireless telephone industry generally, on or after the Restated Agreement Date in connection with or pursuant to the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documents, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, when taken together (giving effect to Information so furnished that corrects, supplements or supersedes Information previously so furnished) (i) in the case of any Information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, prepared and (ii) in the case of any Information required by the terms of the Loan Documents or the preparation of which was requested by any Bank, be complete and correct to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material fact, and (iii) , to the Borrower's best knowledge, not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Agent or any Bank shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), ) and (ii) and (iii)above.

Future Information. All Information furnished or to be furnished to the Administrative Agent or the Banks by or on behalf of the Borrower or any Subsidiary on or after the Restated Agreement Date in connection with or pursuant to the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documents, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information prepared in the ordinary course of business, be complete and correct in all material respects and in the light of the purpose prepared, and, in the case of any Information required by the terms of the Loan Documents or the preparation of which was requested by any Bank, be complete and correct to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereofthereof in all material respects, (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Agent or any Bank shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iii)) provided, however, that the Information insofar as it relates to any Person other than the Borrower or any AEE Entity is to the best knowledge of the Borrower or any AEE Entity.

Future Information. All Information furnished or to be furnished to the Administrative Agent or the Banks Bank in writing by or at the direction of Borrower or, to Borrower’s knowledge, the Novogyne Joint Venture, on behalf of the Borrower or any Subsidiary on or and after the Restated Agreement Date in connection with or pursuant to the Loan Documents this Agreement or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documentsthis Agreement, shall, at the time the same it is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information such prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any Information such required by the terms of the Loan Documents this Agreement or the preparation of which was requested by any Bank, be complete and correct in all material respects to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were mademisleading, and the furnishing of the same them to the Administrative Agent or any Bank shall constitute a representation Representation and warranty Warranty by the Borrower made on the date the same they are so furnished to Bank to the effect specified in clauses (ia), (iib) and (iiic); provided, however, Borrower represents and warrants that all plans, projections and forecasts of future events or future financial results were prepared to the best of Borrower’s knowledge, but does not represent or warrant the achievement of the future results or the occurrence of the future events.

Future Information. All Information furnished or to be furnished to the Administrative Agent Lenders, the Letter of Credit Issuers or the Banks Agent by or on behalf of the Borrower or any Subsidiary its Subsidiaries on or and after the Restated Agreement Date in connection with or pursuant to the this Agreement or any other Loan Documents Document or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the this Agreement or any other Loan DocumentsDocument, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information such prepared in the ordinary course of business, be complete and correct in the light of the purpose prepared, and, in the case of any such Information required by the terms of the Loan Documents this Agreement or the preparation of which was requested by any Bankthe Lenders, the Letter of Credit Issuers or the Agent, be complete and correct in all material respects to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, and (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Lenders, the Agent or any Bank the Letter of Credit Issuers shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iiiii).

Future Information.
