Common use of Franchisee Insurance Clause in Contracts

Franchisee Insurance. The Manager acknowledges that, to the extent that it or any of its Affiliates is named as a “loss payee” or “additional insured” under any insurance policies of any Franchisee, it shall use commercially reasonable efforts to cause it to be so named in its capacity as the Manager on behalf of the applicable Canadian SPV Franchising Entity, and the Manager shall promptly deposit or cause to be deposited to the Insurance Proceeds Account any Franchisee Insurance Proceeds received by it or by any Service Recipient or any other Affiliate under any insurance policies of any Franchisee.
