FRAMEWORK MANAGEMENT. Framework Management Structure: The Supplier shall provide a suitably qualified nominated contact (the “Supplier Framework Manager”) who will take overall responsibility for delivering the Services required within this Framework Agreement, as well as a suitably qualified deputy to act in their absence. The Supplier shall put in place a structure to manage the Framework in accordance with Framework Schedule 2 (Services and Key Performance Indicators). A full governance structure for the Framework will be agreed between the Parties during the Framework Agreement implementation stage. Following discussions between the Parties following the Framework Commencement Date, CCS shall produce and issue to the Supplier a draft Supplier Action Plan. The Supplier shall not unreasonably withhold its agreement to the draft Supplier Action Plan. The Supplier Action Plan shall, unless CCS otherwise Approves, be agreed between the Parties and come into effect within two weeks from receipt by the Supplier of the draft Supplier Action Plan. The Supplier Action Plan shall be maintained and updated on an ongoing basis by CCS. Any changes to the Supplier Action Plan shall be notified by CCS to the Supplier. The Supplier shall not unreasonably withhold its agreement to any changes to the Supplier Action Plan. Any such changes shall, unless CCS otherwise Approves, be agreed between the Parties and come into effect within two weeks from receipt by the Supplier of CCS’s notification. Regular performance review meetings will take place at CCS’s premises throughout the Framework Period and thereafter until the Framework Expiry Date (“Supplier Review Meetings”). The exact timings and frequencies of such Supplier Review Meetings will be determined by CCS following the conclusion of the Framework Agreement. It is anticipated that the frequency of the Supplier Review Meetings will be once every month or less. The Parties shall be flexible about the timings of these meetings. The purpose of the Supplier Review Meetings will be to review the Supplier’s performance under this Framework Agreement and, where applicable, the Supplier’s adherence to the Supplier Action Plan. The agenda for each Supplier Review Meeting shall be set by CCS and communicated to the Supplier in advance of that meeting. The Supplier Review Meetings shall be attended, as a minimum, by CCS Representative(s) and the Supplier Framework Manager.

FRAMEWORK MANAGEMENT. The successful delivery of this Framework Agreement will rely on the ability of the Supplier and the Authority in developing a strategic relationship immediately following the conclusion of this Framework Agreement with the Supplier and maintaining this relationship throughout the Framework Period. The agenda for each Supplier Review Meeting shall be set by CCS the Authority and communicated to the Supplier in advance of that meeting. The Supplier Review Meetings shall be attended, as a minimum, by CCS the Authority Representative(s) and the Supplier Framework Manager. The Supplier shall cooperate in good faith with the Authority to develop efficiency tracking performance measures for this Framework Agreement. This shall include: a) Tracking reductions in product volumes and product costs, in order to demonstrate that Contracting Bodies are consuming less and buying more smartly; and b) Developing additional KPIs to ensure that the Framework Agreement supports the emerging target operating model across central government (particularly in line with centralised sourcing and category management, procurement delivery centres and payment processing systems and shared service centres). The metrics that are to be implemented to measure efficiency shall be developed and agreed between the Authority and the Supplier. Such metrics shall be incorporated into the list of KPIs set out in Framework Schedule 3 (Key Performance Indicators). The ongoing progress and development of the efficiency tracking performance measures shall be reported through framework management activities as outlined in this Framework Schedule 7. In the event that the Authority and the Supplier are unable to agree the performance score for any KPI during a Supplier Review Meeting, the disputed score shall be recorded and the matter shall be referred to the Authority Representative and the Supplier Representative in order to determine the best course of action to resolve the matter (which may involve organising an ad-hoc meeting to discuss the performance issue specifically). Attendance at Framework Review meetings shall be at the Supplier’s own expense.

Review Meetings Regular performance review meetings reviews will take place at CCS’s premises throughout the Framework Period and thereafter until the Framework Expiry Date Agreement (“Supplier Framework Review Meetings”). The exact timings and frequencies of such Supplier Framework Review Meetings will be determined by CCS the Authority following the conclusion award of the Framework Agreement. It is anticipated that during the first twelve (12) Months of the Framework Agreement the structure and frequency of the meetings will be as set out in paragraphs 5.2.2to 5.2.5below. Flexibility from both Parties will be expected over the frequency, timings and content of these reviews. Strategic Management Reviews (“Strategic Management Review”): The Supplier Representative and Authority Representative shall meet every twelve (12) Months at dates to be communicated by the Framework Agreement manager. The Authority sees these meetings as a vital element in developing a strategic relationship with the Supplier and to promote the building of a positive working relationship. The content of these meetings will be agreed between both Parties at least fourteen (14) Working Days before the date of the Strategic Management Review. The Strategic Management Review meeting will consider as a minimum: Overall framework performance including Supplier’s supply chain performance, including an assessment of SMEs being used to supply and/or deliver services; Efficiency opportunities, e.g. cost drivers (Supplier and Authority); Benchmarking including progress against Government efficiency targets; Market conditions (UK/Global market share, financials); Policy updates including emerging Government initiatives; Security and risk management. Management Review Meetings (“Management Review Meetings”): Management Review Meetings will be once held every month or less. The Parties shall be flexible about quarter between the timings of these meetings. The purpose of the Supplier Review Meetings will be to review Authority and the Supplier’s performance under this Framework Agreement and, where applicable, Manager(s) and representatives from key Contracting Body’s at the Authority’s premises. The content of the review will be as set out but not limited to the information required in paragraph Error: Reference source not foundbut the information reviewed at the meetings will be based on Monthly Management Information provided by the Supplier’s adherence to the Supplier Action Plan. The agenda for each Supplier Review Meeting shall be set by CCS and communicated to the Supplier in advance of that meeting.
