Foundation Board Clause Samples
Foundation Board. To the extent that they have the right, power and authority to do so,, each of MSX and Raleigh shall take such actions as may be required for a designated representative of Glamis to be appointed to the board of directors of the foundation known as "Fundacion Pro Preservacion Del Pueblo de Cerro de San ▇▇▇▇▇, A.C."
Foundation Board. (a) The Foundation is an independent Virginia corporation with authority to appoint directors to serve on its Board in accordance with its articles of incorporation and bylaws. The Parties agree, however, that the President of the University, or the President's designee, shall serve as a Foundation director and member of the Foundation's Executive Committee.
(b) The Foundation represents that the officers and board members of the Foundation were provided a copy of this Agreement and they authorized the person executing this Agreement on behalf of the Foundation to execute this Agreement.
Foundation Board. The Parties have worked collaboratively to evaluate the needed composition and characteristics of the board of directors of the Foundation (the “Board”) after the closing of the System Combination. To provide continuity of combined leadership, experience and expertise from both Parties, the Foundation will elect directors so that as of [DATE], the Board is comprised of the directors with staggered terms identified in Attachment 6. After the closing of the System Combination, the Board will elect additional community members pursuant to its bylaws to comprise a diverse self-perpetuating Board with relevant professional and lived experience.
