Common use of Formation Documents Clause in Contracts

Formation Documents. A true and complete copy of the formation documents creating Borrower and each Borrower Party and any and all amendments thereto (collectively, the “Borrower Formation Documents”) has been furnished to Administrative Agent. The Borrower Formation Documents constitute the entire agreement regarding Borrower and each Borrower Party among the members of Borrower and shareholders of each Borrower Party and are binding upon and enforceable against each of the members or shareholders, as applicable, in accordance with their terms. No breach exists under the Borrower Formation Documents and no condition exists which, with the giving of notice or the passage of time would constitute a breach under the Borrower Formation Documents.

No breach exists under the Borrower Formation Documents Documents, and no condition exists which, with the giving of notice or the passage of time time, would constitute a breach under the Borrower Formation Documents.
