June 2004 Notes. The Borrower shall have delivered to the Administrative Agent evidence satisfactory to the Administrative Agent that the Borrower has issued the June 2004 Notes on terms described in the offering memorandum therefor dated June 4, 2004 and approved by the Administrative Agent and has received the proceeds thereof and that the June 2004 Notes Documents are in full force and effect.
