FORM OF OPINION OF SPECIAL PENNSYLVANIA COUNSEL TO THE COMPANY. (i) The Company is a corporation duly incorporated and validly subsisting under the laws of the Commonwealth of Pennsylvania and has the corporate power to own, lease and operate its properties and to conduct its business as described or incorporated by reference in the Prospectus, to enter into and perform its obligations under the Agreement and to consummate the transactions contemplated by the Agreement and in the Prospectus.

FORM OF OPINION OF SPECIAL PENNSYLVANIA COUNSEL TO THE COMPANY. 1. In reliance on the various certificates from the Commonwealth of Pennsylvania and a secretary's certificate from the Company, the Company is a corporation duly incorporated and validly subsisting under the laws of the Commonwealth of Pennsylvania and has the corporate power to own, lease and operate its properties and to conduct its business as described in the Prospectus, to execute, deliver and perform its obligations under the Underwriting Agreement and the Indenture and to consummate the transactions contemplated by the Underwriting Agreement and by the Prospectus.

  • Opinion of U.S. Counsel for the Company The Company shall have requested and caused Pxxx, Weiss, Rifkind, Wxxxxxx & Gxxxxxxx LLP, counsel for the Company, to have furnished to the Representative its opinions dated the Closing Date and addressed to the Representative in form and substance acceptable to the Representative.

  • Opinion of General Counsel of the Company The General Counsel of the Company, shall have furnished to the Representatives, at the request of the Company, a written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives and substantially in the form previously agreed by the parties hereto.

  • Opinion of Regulatory Counsel for the Company XxXxxxxxx Will & Xxxxx LLP, regulatory counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
