Opinion of General Counsel for the Company. The General Counsel of the Company shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-2 hereto.
Opinion of General Counsel for the Company. Xxxx X. Xxxxxxxx, Executive Vice President and General Counsel of the Company, shall have furnished to the Representatives his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, in form and substance reasonably satisfactory to the Representatives.
Opinion of General Counsel for the Company. The Representative shall have received an opinion, dated such Closing Date, of Xxxxx X. Xxxxxxx, General Counsel for the Company, as to the matters described in Schedule F hereto.
Opinion of General Counsel for the Company. Xxxxx X. Xxxxxx, General Counsel for the Company, shall have furnished to the Representative, at the request of the Company, her written opinion, dated the Closing Date and any Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex A-3 hereto.
Opinion of General Counsel for the Company. Xxxxxx X. Xxxxx, Xx., general counsel for the Company, shall have furnished to the Representatives his written opinion, dated the Closing Date, in form as set forth on Exhibit A-2 hereto.
Opinion of General Counsel for the Company. The Underwriter shall have received from Xxxxxx XxXxxxxxx, Senior Vice President and General Counsel of the Company, an opinion, dated the Closing Date and addressed to the Underwriter, in form and substance reasonably satisfactory to the Underwriter and its counsel.
Opinion of General Counsel for the Company. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Xxxxxxx Xxxx, Esq., General Counsel for the Company, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit D hereto
Opinion of General Counsel for the Company. If requested by the Representatives, the favorable opinion of Xxxxx Xxxxxxxx, General Counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(f) hereof.
Opinion of General Counsel for the Company. The Representatives shall have received an opinion, dated the Closing Date, of Xxxxxx X. Xxxxx, as General Counsel for the Company, to the effect set forth in Annex B to the Underwriting Agreement.
Opinion of General Counsel for the Company. The Underwriter shall have received an opinion, dated such Closing Date, of Xxxxxxx X. Xxxxxx, General Counsel for the Company, as to the matters described in Schedule F hereto.
