Common use of Form and Execution of Warrant Certificates Clause in Contracts

Form and Execution of Warrant Certificates. The Warrant Certificates shall be substantially in the form attached as Exhibit "A" and may have such letters, numbers or other marks of identification and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions of this Agreement. The Warrant Certificates shall be dated as of the date of issuance, whether on initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates. One Warrant Certificate representing one Class F warrant shall be initially issued only when attached to a certificate representing two Common Stock Shares. The Warrant Certificates shall be numbered serially in accordance with the Common Shares attached thereto with the letter "W" appearing on each Warrant Certificate. Following initial issuance, the Warrant Shares may be issued by number preceded by the letter "W" without regard to the number of Common Shares initially attached thereto. The Warrant Certificates shall be executed on behalf of the Company by its President and Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. The Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In the event any officer of the Company who executed the Warrant Certificates shall cease to be an officer of the Company before the date of issuance of the Warrant Certificates or before countersignature and delivery by the Warrant Agent, such Warrant Certificates may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be an officer of the Company.

The Warrant Certificates representing the 100,000 Warrants to be issued to H+N Partners with an exercise price of $1.25 per share shall be substantially in the form attached as Exhibit "A" and may have such letters, numbers or other marks of identification and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions hereof. The Warrant Certificates representing the 100,000 Warrants to be issued to H+N Partners with an exercise price of this Agreement$1.50 per share shall be substantially in the form attached as Exhibit "B" and may have such letters, numbers or other marks of identification and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions hereof. The Warrant Certificates shall be dated as of the date of issuance, whether on initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates. One Warrant Certificate representing one Class F warrant shall be initially issued only when attached to a certificate representing two Common Stock Shares. The Warrant Certificates representing the 100,000 Warrants to be issued to H+N Partners with an exercise price of $1.25 per share shall be numbered serially in accordance with the Common Shares attached thereto with letters "WHNA" preceding the letter "W" appearing on number of each Warrant Certificate. Following initial issuance, Warrant Certificates representing the Warrant Shares may 100,000 Warrants to be issued by number preceded by to H+N Partners with an exercise price of $1.50 per share shall be numbered serially with the letter letters "WWHNB" without regard to preceding the number of Common Shares initially attached theretoeach Warrant Certificate. The Warrant Certificates shall be executed on behalf of the Company by its President and Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. The Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In the event any officer of the Company who executed the Warrant Certificates shall cease to be an officer of the Company before the date of issuance of the Warrant Certificates or before countersignature and delivery by the Warrant Agent, such Warrant Certificates may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be an officer of the Company.

The Warrant Certificates issued for Over-Allotment Warrants shall be numbered serially in accordance issued together with the Common Shares attached thereto with the letter "W" appearing on each Warrant Certificate. Following initial issuance, the Warrant Shares may be issued by number preceded by the letter "W" without regard to the certificates representing an equal number of shares of Common Shares initially attached theretoStock as Over-Allotment Warrants. The Warrant Certificates shall be executed on behalf of the Company by its President and Secretaryduly authorized officers, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. The Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In the event any officer of the Company who executed the Warrant Certificates shall cease to be an officer of the Company before the date of issuance of the Warrant Certificates or before countersignature and delivery by the Warrant Agent, such Warrant Certificates may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be an officer of the Company.

The Warrant Certificates shall be dated as of the date of issuance, issuance thereof (whether on upon initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen stolen, or destroyed Warrant Certificates) and issued in registered form. One Warrant Certificate representing one Class F warrant shall be initially issued only when attached to a certificate representing two Common Stock Shares. The Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In the event case any officer of the Company who executed shall have signed any of the Warrant Certificates shall cease to be an such officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates may nevertheless be countersigned by the Warrant Agent, such Warrant Certificates may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be an such officer of the Company. After countersignature by the Warrant Agent, Warrant Certificates shall be delivered by the Warrant Agent to the Registered Holder without further action by the Company, except as otherwise provided by Section 4(a).

The Warrant Certificates Certificate shall be in registration form substantially in the form attached annexed hereto as Exhibit "A" A (the provisions of which are hereby incorporated herein) and may have such letters, numbers or other marks of or identification or designation and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company company may deem appropriate and as are not inconsistent with the provisions of this Agreement, or as may be required to comply with any law or with any rule or regulation made pursuant thereto or with any rule or regulation of any stock exchange on which the warrants may be listed, or to conform to usage. The Warrant Certificates shall be dated as of the date of issuance, countersignature thereof by the Warrant Agent (whether on upon initial issuance, transfer, transfer or exchange or in lieu of mutilated, lost, stolen stolen, or destroyed Warrant Certificates). One Warrant Certificate representing one Class F warrant shall be initially issued only when attached to a certificate representing two Common Stock Shares. The Warrant Certificates shall be numbered serially in accordance with the Common Shares attached thereto with the letter "W" appearing on each Warrant Certificate. Following initial issuance, the Warrant Shares may be issued by number preceded by the letter "W" without regard to the number of Common Shares initially attached thereto. The Warrant Certificates shall be executed signed on behalf of the Company company by its President president or a vice president and Secretaryby its secretary or an assistant secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future president, by manual signatures vice president, secretary or by assistant secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the company may adopt and use the facsimile signatures printed thereon, and signature of any person who shall have imprinted thereon a facsimile of been president, vice president, secretary or assistant secretary, notwithstanding the Company's seal. The fact that at the time the Warrant Certificates Certificate shall be manually countersigned by the Warrant Agent and delivered or disposed of he shall not be valid for any purpose unless so countersignedhave ceased to hold such office. In the event case any officer of the Company company who executed shall have signed any of the Warrant Certificates shall cease case to be an such officer of the Company before the date of issuance of the Warrant Certificates or before countersignature and delivery so signed shall have been countersigned by the Warrant Agent, or disposed of by the company, such Warrant Certificates Certificate nevertheless may be countersigned, issued countersigned and delivered by the Warrant Agent with the same force and effect or disposed of as though the such person who signed such Warrant Certificates had not ceased to be an such officer of the Companycompany; and any Warrant Certificate may be signed on behalf of the company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the company to sign such Warrant Certificate, although at the date of this execution of this Warrant Agreement any such person was not such officer.

One The Warrant Certificate representing one Class F warrant Certificates initially shall be initially issued only when attached to certificates for a certificate representing two number of Common Stock SharesShares equal to 5 times the number of Warrants represented thereby. Thereafter the letter "W" appearing on each Warrant Certificate. Following initial issuance, the Warrant Shares Warrants may be issued by number preceded by the letter "“W" ” without regard to the number of the Common Shares initially attached theretoShares. The Warrant Certificates shall be executed on behalf of the Company by its President or a Vice President and by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's ’s seal. The Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In the event case any officer of the Company who executed shall have signed any of the Warrant Certificates shall cease to be an such officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, may be countersigned by the Warrant Agent, such Warrant Certificates may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be an such officer of the Company.
