Form and Execution of Warrant Certificates. (a) The Warrant Certificates shall be substantially in the form annexed hereto as Exhibit A (the provisions of which are hereby incorporated herein) and may have such letters, numbers or other marks of identification or designation and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions of this Agreement, or as may be required to comply with any law or with any rule or regulation made pursuant thereto or with any rule or regulation of any stock exchange on which the Warrants may be listed, or to conform to usage. The Warrant Certificates shall be dated the date of issuance thereof (whether upon initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form. Warrants shall be numbered serially with the letter W on the Warrants. (b) Warrant Certificates shall be executed on behalf of the Company by its Chairman of the Board, Chief Executive Officer, President or any Vice President and by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, may be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such officer of the Company. After countersignature by the Warrant Agent, Warrant Certificates shall be delivered by the Warrant Agent to the Registered Holder promptly and without further action by the Company, except as otherwise provided by Section 4(a) hereof.

After countersignature by the Warrant Agent, Warrant Certificates shall be delivered by the Warrant Agent to the Registered Holder promptly and without further action by the Company, except as otherwise provided by Section 4(a) 4 hereof.

The Warrant Certificates shall be dated as of the date of issuance thereof (issuance, whether upon on initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form. Warrants Each Warrant Certificate shall be numbered serially with initially issued only when attached to a certificate representing that number of Shares of Common Stock which is one-fifth the letter W on number of Warrants represented by the Warrants. (b) Warrant Certificate and shall be separately transferable from the certificate representing the Shares of Common Stock immediately upon issuance. Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereofAgent, such Warrant Certificates, nevertheless, Certificate may be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such officer of the Company. Warrant Certificates issued for Over-Allotment Warrants shall be issued together with certificates representing the letter W same number of shares of Common Stock as Over-Allotment Warrants and shall be separately transferable only on and after the Warrants. (a) The Warrant Certificates shall be substantially in the form annexed hereto attached as Exhibit A (the provisions of which are hereby incorporated herein) "A" and may have such letters, numbers or other marks of identification or designation and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions of this Agreement, or as may be required to comply with any law or with any rule or regulation made pursuant thereto or with any rule or regulation of any stock exchange on which the Warrants may be listed, or to conform to usage. The Warrant Certificates shall be dated as of the date of issuance thereof (issuance, whether upon on initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form. Each Warrant Certificate for Firm Warrants shall be numbered serially initially issued only when attached to a certificate representing the same number of Firm Shares of Common Stock as Firm Warrants and shall be separately transferable from the certificate representing Firm Shares only on and after the Separation Date. Warrant Certificates issued for Over-Allotment Warrants shall be issued together with certificates representing the letter W same number of shares of Common Stock as Over-Allotment Warrants and shall be separately transferable only on and after the Warrants. (b) Separation Date. The Warrant Certificates shall be executed on behalf of the Company by its Chairman of the Board, Chief Executive Officer, President or any Vice President and by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. The Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case the event any officer of the Company who shall have signed any of executed the Warrant Certificates shall cease to be such an officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, may be countersigned by the Warrant Agent, such Warrant Certificates may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such an officer of the Company. Warrants shall be numbered serially with the letter W letters "WB" on the Class B Warrants and with the letters "WC" on the Class C Warrants. (b) Warrant Certificates shall be executed on behalf of the Company by its Chairman of the Board, Chief Executive Officer, President or any Vice President and by its Chief Financial Officer, Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. (b) The Warrant Certificates shall be executed signed in the name and on behalf of the Company by its Chairman of the BoardBoard of Directors, Chief its President, an Executive OfficerVice President, President any Vice President, the Treasurer or any Vice President Assistant Treasurer and by its Treasurer or an Assistant Treasurer or its Secretary or an any Assistant Secretary, by . Such signatures may be manual signatures or by facsimile signatures printed thereonof the present or any future holder of any such office and may be imprinted or otherwise reproduced on the Warrant Certificates, and shall have imprinted thereon a facsimile of subject to the Company's sealBye-Laws as in effect from time to time. The seal of the Company may be in the form of a facsimile thereof and may be impressed, affixed, imprinted or otherwise reproduced on the Warrant Certificates Certificates. (c) No Warrant Certificate shall be manually valid for any purpose, and no Stock Warrant evidenced thereby shall be deemed issued or exercisable, until such Warrant Certificate has been countersigned by the manual or facsimile signature of the Warrant Agent. Such signature by the Warrant Agent and upon any Warrant Certificate executed by the Company shall not be valid for any purpose unless conclusive evidence that the Warrant Certificate so countersigned. countersigned has been duly issued hereunder. The Warrant Certificates shall be dated the date of issuance thereof (whether upon initial issuance, transfer, transfer or exchange or in lieu of mutilated, lost, stolen stolen, or destroyed Warrant Certificates) and issued in registered form. The Warrant Certificates shall be dated the date of issuance thereof (whether upon initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen stolen, or destroyed Warrant Certificates) and issued in registered form). Warrants shall be numbered serially with the letter W on the Warrants. (b) serially. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, Certificates may nevertheless be countersigned by the Warrant Agent, Agent and issued and delivered with the same force and effect as though the person who signed such Warrant Certificates Certificate had not ceased to be such officer of the Company. After countersignature by the Warrant Agent, Warrant Certificates shall be delivered by the Warrant Agent to the Registered Holder promptly and without further action by the Company, except as otherwise provided by Section 4(a) hereof.

In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such an officer of the Company or to hold the particular office referenced in the Warrant Certificate before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, Certificates may nevertheless be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such an officer of the CompanyCompany or to hold such office. After countersignature by the Warrant Agent, Warrant Certificates shall be delivered by the Warrant Agent to the Registered Holder promptly and without further action by the Company, except as otherwise provided by Section 4(a) hereof.

In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereofAgent, such Warrant Certificates, nevertheless, Certificate may be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such officer of the Company. Stock may be listed, or to conform to usage. The Warrant warrant Certificates shall be dated the date of issuance thereof (whether upon initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen stolen, or destroyed Warrant Certificates) and issued in registered form. Warrants shall be numbered serially with the letter W on the Warrantswarrants of all denominations. (b) Warrant Certificates shall be executed on behalf of the Company Millicom by its Chairman Chair-man of the Board, Board and Chief Executive Officer, President Officer or any Vice vice President and attested by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's Millicom’s seal. Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case any officer of the Company Millicom who shall have signed any of the Warrant Certificates shall cease to be such officer of the Company Millicom before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, Certificates may nevertheless be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such officer of Millicom. In case Millicom shall change its name or its state of incorporation, Warrant Certificates bearing Millicom’s previous name or state of incorporation shall continue to be valid for all purposes until exercised, surrendered or replaced in the Companyordinary course. After countersignature by the Warrant Agent, Warrant Certificates shall be delivered by the Warrant Agent to the Registered Holder promptly and without further action by the CompanyMillicom or ASN, except as otherwise provided by Section 4(a) 4 hereof.

Form and Execution of Warrant Certificates. (a) The Warrant Certificates shall be substantially in the form annexed hereto attached to this Agreement as Exhibit A (the provisions of which are hereby incorporated herein) A, and may have be printed, lithographed or engraved with such letters, numbers or other marks of identification or designation and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions of this Agreement, or Agreement and as may be required to comply with any law or with any rule or regulation made pursuant thereto or with any rule or regulation of any stock exchange on which the Warrants may be listed, or to conform to usageCorporation deems appropriate. The Warrant Certificates shall be dated as of the date of issuance thereof (their issuance, whether upon on initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form. Warrants shall be numbered serially with the letter W on the Warrants. (b) Each Warrant Certificate shall be issued initially only when attached to a stock certificate representing that number of shares of the Stock which is equal to the number of Warrant Shares set forth on the face of the Warrant Certificate. The Warrant Certificates shall be numbered serially in accordance with the stock certificates to which they are attached with the letter "W" appearing on each Warrant Certificate. The Warrant Certificates may be detached from the stock certificates as of the effective date of the prospectus covering the Corporation's public offering (the "Prospectus"). After detachment from the stock certificates, Warrant Certificates may be issued by number preceded by the letter "W" without regard to the number of the stock certificate to which the Warrant Certificate was initially attached. (c) The Warrant Certificates shall be executed on behalf of the Company Corporation by its Chairman of the Board, Chief Executive Officer, President or any Vice President and by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretaryauthorized officers, by manual signatures or by facsimile signatures printed thereonsignatures, and shall have imprinted thereon be printed with a facsimile of the CompanyCorporation's seal. The Warrant Certificates shall be manually countersigned by the Warrant Agent Agent, and shall not be valid for any purpose unless so countersigned. In case the event any officer of the Company Corporation who shall have signed any of the executed a Warrant Certificates Certificate shall cease to be such an officer of the Company Corporation before the date of issuance of the Warrant Certificates Certificate or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, may be countersigned by the Warrant Agent, the Warrant Certificate may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such the Warrant Certificates Certificate had not ceased to be such an officer of the CompanyCorporation. After countersignature by the Warrant Agent, Warrant Certificates The Corporation shall be delivered by file promptly with the Warrant Agent to the Registered Holder promptly and without further action such approval, adoption or ratification as may be required by the Company, except as otherwise provided by Section 4(a) hereoflaw.

The Warrant Certificates shall be dated the date of issuance thereof (whether upon initial issuance, issuances transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form. Warrants Warrant Certificates shall be numbered serially with the letter W letters FS on the Warrantsall Warrants or Additional Warrants of all denominations. (b) Warrant Certificates shall be executed on behalf of the Company by its Chairman of the Board, Chief Executive Officer, President or any Vice President and by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such an officer of the Company or to hold the particular office referenced in the Warrant Certificate before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, Certificates may nevertheless be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such an officer of the CompanyCompany or to hold such office. The Warrant Certificates shall be dated the date of issuance thereof (whether upon initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form. Warrants Class A Warrant Certificates shall be numbered serially with the letter W on the Warrantsletters WA. (b) Warrant Certificates shall be executed on behalf of the Company by its Chairman of the BoardPresident, Chief Executive Officer, President or any Vice President and by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such an officer of the Company or to hold the particular office referenced in the Warrant Certificate before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, Certificates may nevertheless be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such an officer of the CompanyCompany or to hold such office. (a) The Warrant Certificates representing the Warrants to be issued to Centex Securities, Inc. shall be substantially in the form annexed hereto attached as Exhibit A (the provisions of which are hereby incorporated herein) "A" and may have such letters, numbers or other marks of identification or designation and such legends, summaries or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions of this Agreement, or as may be required to comply with any law or with any rule or regulation made pursuant thereto or with any rule or regulation of any stock exchange on which the Warrants may be listed, or to conform to usagehereof. The Warrant Certificates shall be dated as of the date of issuance thereof (issuance, whether upon on initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and . Warrant Certificates representing the Warrants to be issued in registered form. Warrants to Centex Securities, Inc. shall be numbered serially with the letter W on letters "WCSI" preceding the Warrants. (b) number of each Warrant Certificate. In case the event any officer of the Company who shall have signed any of executed the Warrant Certificates shall cease to be such an officer of the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, may be countersigned by the Warrant Agent, such Warrant Certificates may be countersigned, issued and delivered by the Warrant Agent with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such an officer of the Company. Form and Execution of Warrant Certificates. Each Warrant Certificate, whenever issued, shall be dated the form annexed hereto as Exhibit A (date it is countersigned by the provisions of which are hereby incorporated herein) Warrant Agent and may have such letters, numbers or other marks of identification or designation and such legends, summaries legends or endorsements printed, lithographed or engraved thereon as the Company may deem appropriate and as are not inconsistent with the provisions of this Agreement, or as may be required to comply with any law or with any rule or regulation made pursuant thereto or with any rule or regulation of any stock securities exchange on which the Stock Warrants may be listed, or to conform to usage, as the officer of the Company executing the same may approve (such officer's execution thereof to be conclusive evidence of such approval). The Each Warrant Certificates Certificate shall be dated the date of issuance thereof (whether upon initial issuance, transfer, exchange evidence one or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form. Warrants shall be numbered serially with the letter W on the more Stock Warrants. Such signatures may be manual signatures or by facsimile signatures printed thereonof the present or any future holder of any such office and may be imprinted or otherwise reproduced on the Warrant Certificates, and shall have imprinted thereon a facsimile of subject to the Company's sealBy-Laws as in effect from time to time. The seal of the Company may be in the form of a facsimile thereof and may be impressed, affixed, imprinted or otherwise reproduced on the Warrant Certificates Certificates. (c) No Warrant Certificate shall be manually valid for any purpose, and no Stock Warrant evidenced thereby shall be deemed issued or exercisable, until such Warrant Certificate has been countersigned by the manual or facsimile signature of the Warrant Agent. Such signature by the Warrant Agent and upon any Warrant Certificate executed by the Company shall not be valid for any purpose unless conclusive evidence that the Warrant Certificate so countersigned. countersigned has been duly issued hereunder. The Warrant Certificates shall be dated the date of issuance thereof (whether upon initial issuance, transfer, exchange or in lieu of mutilated, lost, stolen or destroyed Warrant Certificates) and issued in registered form). Warrants Warrant Certificates shall be numbered serially with the letter W letters, "DIW" on the WarrantsWarrant Certificates of all denominations. (b2) Warrant Certificates shall be executed on behalf of the Company by its Chairman of the Board, Chief Executive Officer, President or any Vice President and by its Treasurer or an Assistant Treasurer or its Secretary or an Assistant Secretary, by manual signatures or by facsimile signatures printed thereon, and shall have imprinted thereon a facsimile of the Company's seal. Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be hold such officer of position with the Company before the date of issuance of the Warrant Certificates or before countersignature by the Warrant Agent and issue and delivery thereof, such Warrant Certificates, nevertheless, may be countersigned by the Warrant Agent, issued and delivered with the same force and effect as though the person who signed such Warrant Certificates had not ceased to be such officer of the Company. After countersignature by the Warrant Agent, Warrant Certificates shall be delivered by the Warrant Agent to the Registered Holder promptly and without further action by the Company, except as otherwise provided by Section 4(a) hereof.
