Common use of Form 10-K Filings Clause in Contracts

Form 10-K Filings. For so long as the Seller is required to file Exchange Act Reports: (i) if the Item 1119 Parties listed on Appendix A have changed since the Closing Date, no later than March 1 of each year, the Seller shall provide each of the Indenture Trustee, the Owner Trustee and the Servicer with an updated Appendix A setting forth the Item 1119 Parties and (ii) no later than March 15 of each year, commencing in 2007, the Indenture Trustee, the Owner Trustee and the Servicer shall notify the Seller of any Form 10-K Disclosure Item, together with a description of any such Form 10-K Disclosure Item in form and substance reasonably acceptable to the Seller.

For so long as the Seller is required to file Exchange Act Reports: (i) if the Item 1119 Parties listed on Appendix A have changed since the Closing Date, no later than March 1 of each year, the Seller shall provide each of the Indenture Trustee, the Owner Trustee Trustee, the Servicer and the Backup Servicer with an updated Appendix A setting forth the Item 1119 Parties and (ii) no later than March 15 of each year, commencing in 20072010, the Indenture Trustee, the Owner Trustee Trustee, the Servicer and the Backup Servicer shall notify the Seller of any Form 10-K Disclosure Item, together with a description of any such Form 10-K Disclosure Item in form and substance reasonably acceptable to the Seller.

For From and after the date of this Agreement, for so long as the Seller is required to file Exchange Act Reportsreports with respect to the Trust: (i) if the Item 1119 Parties listed on Appendix A have changed since the Closing DateDate for the Notes of any Series or Class, then no later than March 1 of each year, the Seller shall provide each of the Indenture Trustee, the Owner Trustee and the Servicer with an updated Appendix A setting forth the Item 1119 Parties and (ii) no later than March 15 of each year, commencing in [2007], the Indenture Trustee, the Owner Trustee and the Servicer shall notify the Seller of any Form 10-K Disclosure Item, together with a description of any such Form 10-K Disclosure Item in form and substance reasonably acceptable to the Seller.
