Common use of Form 10-D Filings Clause in Contracts

Form 10-D Filings. For so long as the Seller is required to file Exchange Act Reports with respect to the Issuer, no later than each Payment Date, each of the Indenture Trustee, the Owner Trustee and the Servicer shall notify (and the Servicer shall cause any subservicer to notify) the Seller of any Form 10-D Disclosure Item with respect to such Person, together with a description of any such Form 10-D Disclosure Item in form and substance reasonably acceptable to the Seller. In addition to such information as the Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the Seller, the Servicer shall provide such information which is available to the Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the Statements to Noteholders pursuant to Section 5.07, commencing with the first such report due not less than five Business Days following such request.

For so So long as the Seller Depositor is required to file Exchange Act Reports with respect to the Issuer, no later than each Payment Date, each of the Indenture Trustee, the Owner Trustee and the Servicer shall notify (and the Servicer shall cause any subservicer Subservicer to notify) the Seller Depositor of any Form 10-D Disclosure Item with respect to such Person, together with a description of any such Form 10-D Disclosure Item in form and substance reasonably acceptable to the SellerDepositor. In addition to such information as the Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the SellerDepositor, the Servicer shall provide such information which is available to the Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the Statements to Noteholders pursuant to Section 5.074.9, commencing with the first such report due not less than five Business Days following such request.

In addition to such information as the Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the Seller, the Servicer shall provide such information which is available to the Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. For so So long as the Seller Depositor is required to file Exchange Act Reports with respect to the Issuer, no later than each Payment Distribution Date, each of the Indenture Trustee, the Owner Trustee and the Master Servicer shall notify (and the Master Servicer shall cause any subservicer Subservicer to notify) the Seller Depositor of any Form 10-D Disclosure Item with respect to such Person, together with a description of any such Form 10-D Disclosure Item in form and substance reasonably acceptable to the SellerDepositor. In addition to such information as the Master Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the SellerDepositor, the Master Servicer shall provide such information which is available to the Master Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the Statements statements to Noteholders Securityholders pursuant to Section 5.074.12, commencing with the first such report due not less than five Business Days following such request.

For so long as the Seller is required to file Exchange Act Reports with respect to the Issuer, no later than each Payment Date, each of the 50 Indenture Trustee, the Owner Trustee and the Servicer shall notify (and the Servicer shall cause any subservicer to notify) the Seller of any Form 10-D Disclosure Item with respect to such Person, together with a description of any such Form 10-D Disclosure Item in form and substance reasonably acceptable to the Seller. In addition to such information as the Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the Seller, the Servicer shall provide such information which is available to the Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the Statements to Noteholders pursuant to Section 5.07, commencing with the first such report due not less than five Business Days following such request.

In addition to such information as the Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the SellerDepositor, the Servicer shall provide such information which is available to the Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the Statements to Noteholders Certificateholders pursuant to Section 5.077.8, commencing with the first such report due not less than five Business Days following such request.
