Common use of Form 10-D Filings Clause in Contracts

Form 10-D Filings. So long as the Depositor is required to file Exchange Act Reports with respect to the Issuer, no later than each Determination Date, each of the Indenture Trustee and the Servicer shall notify (and the Servicer shall cause any subservicer to notify) the Depositor of any Form 10-D Disclosure Item with respect to such Person (or in the case of the Indenture Trustee, a Responsible Officer of such Person), together with a description of any such Form 10-D Disclosure Item in form and substance reasonably acceptable to the Depositor. In addition to such information as the Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the Depositor, the Servicer shall provide such information which is available to the Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the statements to Securityholders pursuant to Section 4.09, commencing with the first such report due not less than five Business Days following such request.

Such information shall be provided concurrently with the statements to Securityholders Noteholders pursuant to Section 4.095.06, commencing with the first such report due not less than five Business Days following such request.

So From and after the date of this Agreement, for so long as the Depositor Seller is required to file Exchange Act Reports reports with respect to the IssuerTrust, no later than each Determination Payment Date, each of the Indenture Trustee, the Owner Trustee and the Servicer shall notify (and the Servicer shall cause any subservicer to notify) the Depositor Seller of any Form 10-D Disclosure Item with respect to such Person (or in the case of the Indenture Trustee, a Responsible Officer of such Person), together with a description of any such Form 10-D Disclosure Item in form and substance reasonably acceptable to the DepositorSeller. In addition to such information as the Servicer is obligated to provide pursuant to other provisions of this AgreementAgreement or pursuant to any other Transaction Document, if so requested by the DepositorSeller, the Servicer shall provide such information which is available to the Servicer, without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the statements to Securityholders Monthly Noteholders' Report pursuant to Section 4.09the related Indenture Supplement, commencing with the first such report due not less than five Business Days following such request.

In addition to such information as the Master Servicer is obligated to provide pursuant to other provisions of this Agreement, if so requested by the Depositor, the Master Servicer shall provide such information which is available to the Servicer, Master Servicer without unreasonable effort or expense regarding the performance or servicing of the Receivables as is reasonably required to facilitate preparation of distribution reports in accordance with Item 1121 of Regulation AB. Such information shall be provided concurrently with the statements to Securityholders pursuant to Section 4.094.11, commencing with the first such report due not less than five Business Days following such request.

Such information shall be provided concurrently with the statements to Securityholders pursuant to Section 4.094.12, commencing with the first such report due not less than five Business Days following such request.
