First Tier Entity Clause Samples

The 'First Tier Entity' clause defines an entity that has a direct contractual relationship with the primary party, often the main contractor or principal in a business arrangement. In practice, this clause identifies organizations or individuals that receive work, funds, or obligations directly from the main party, distinguishing them from lower-tier subcontractors or suppliers. Its core function is to clarify the hierarchy of contractual relationships, ensuring that responsibilities, compliance requirements, and reporting obligations are properly allocated and understood at the top level of the supply chain or project structure.
