Firmware or Software Sample Clauses

Firmware or Software. Copyright; Trademark. The Service and Device(s) and any firmware or software used to provide the Service or provided to you in conjunction with providing the Service, or embedded in the Device(s), and all Services, information, documents and materials on our websites are protected by trademark, copyright or other intellectual property laws and international treaty provisions. All of our websites, corporate names, service marks, trademarks, trade names, logos and domain names (collectively "marks") are and will at all times remain our exclusive property. Nothing in this Agreement grants you the right or license to use any of our marks.

Firmware or Software. MVWC acknowledges that it will acquire no right, title or interest (including any license rights or rights of use) in any firmware or software, and the licenses therefor which are owned by MII or its Affiliates, as applicable, by reason of the provision of the Transition Services provided hereunder, except to the extent that any such license rights or rights of use are provided for in a written agreement signed by MII and MVWC.

Firmware or Software. You have not been granted any license to use the firmware or software we use to provide our service or that we provide to you in providing our service, or that is embedded in your device, other than a nontransferable, revocable license to use the firmware or software in object code form (without making any modification to it) strictly according the terms and conditions of this agreement. You also agree that you will use your device exclusively for our service.

Firmware or Software. You have not been granted any license to use the firmware or software used to provide the Service or provided to you in conjunction with providing the Service, or embedded in the Device(s), other than a nontransferable, revocable license to use such firmware or software in object code form (without making any modification thereto) strictly in accordance with the terms and conditions of this Agreement. You expressly agree that the Device(s) is exclusively for use in connection with the Service and that we will not provide any passwords, codes or other information or assistance that would enable you to use the Device(s) for any other purpose. We reserve the right to prohibit the use of any interface Device(s) that we have not provided to you. You hereby represent and warrant that you possess all required rights, including software and/or firmware licenses, to use any interface Device(s) that we have not provided to you. In addition, you shall indemnify and hold us harmless against any and all liability arising out of your use of such interface Device(s) with the Service. You shall not decompile, disassemble or reverse engineer or otherwise attempt to derive the source code from the binary code of the firmware or software.

Firmware or Software a) To the extent that the product or services contain or are firmware or software, Seller hereby grants to Buyer a non- exclusive, non-transferable, personal license to use the firmware or software and related documentation. Buyer’s use conclusively evidences its acceptance of this license. Title to the firmware or software shall at all times remain with Seller. ▇▇▇▇▇ agrees that the firmware or software, all enhancements, related documentation, and derivative works are, and will remain the sole property of Seller and includes valuable trade secrets. ▇▇▇▇▇ agrees to treat the firmware or software and related documentation as confidential and to not copy, reproduce, sub-license, or otherwise disclose the firmware or software and related documentation to third parties. ▇▇▇▇▇ agrees to not disassemble, decompile, reverse engineer, create derivative works from or otherwise translate, customize, localize, modify, add to, or in any way alter, rent, or loan the firmware or software or related documentation unless the operation is specifically authorized by law. b) Third party product firmware or software Licenses are separate end user license agreements (“▇▇▇▇”) and not issued pursuant to the above stated personal license. ▇) ▇▇▇▇▇ agrees to defend, indemnify and hold harmless Seller from all damages and third party claims arising from unauthorized use or transfer of the firmware or software.
