Common use of FinCEN Certificate Clause in Contracts

FinCEN Certificate. Prior to the pricing of the Securities, the Representative shall have received a certificate satisfying the beneficial ownership due diligence requirements of FinCEN from the Company in form and substance reasonably satisfactory to the Representative, along with such additional supporting documentation as the Representative has requested in connection with the verification of the foregoing certificate.
