Financial Risks. Such Buyer acknowledges that such Buyer is able to bear the financial risks associated with an investment in the Securities being purchased by such Buyer from the Company and that it has been given full access to such records of the Company and its Subsidiaries and to the officers of the Company and its Subsidiaries as it has deemed necessary or appropriate to conduct its due diligence investigation. Such Buyer is capable of evaluating the risks and merits of an investment in the Securities being purchased by the Buyer from the Company by virtue of its experience as a Buyer and its knowledge, experience, and sophistication in financial and business matters and the Buyer is capable of bearing the entire loss of its investment in the Securities being purchased by the Buyer from the Company.
