(a) (i) The consolidated financial statements Annual Statement of JHLIC as of December 31, 1999, as filed with the Insurance Department of the Company included or incorporated by reference in the Registration Statement, the Prospectus and the Issuer Free Writing Prospectuses, if anyCommonwealth of Massachusetts, together with the related notes exhibits, schedules and schedulesexplanations therein contained or thereto annexed, present fairly, in all material respects, the consolidated financial position copies of which have been delivered or made available to each of the Company Banks, are a full and true statement of all assets and liabilities and of the Subsidiaries (as defined below) condition and affairs of JHLIC as of such date and of its income and deductions therefrom for the dates indicated year then ended (within the meaning of applicable regulations and the consolidated results of operations, cash flows and changes in stockholders’ equity practices of the Company Insurance Department of the Commonwealth of Massachusetts), and such Annual Statement is accompanied by an opinion of the Corporate Actuary of JHLIC to the effect that the amounts carried in the balance sheet of JHLIC contained therein of certain actuarial items (A) are computed in accordance with commonly accepted actuarial standards consistently applied and are fairly stated in accordance with sound actuarial principles, (B) are based on actuarial assumptions which are in accordance with or stronger than those called for the periods specified in policy provisions, (subject to normal year-end audit adjustments for interim financial statementsC) and have been prepared in compliance with meet the requirements of the Securities Act insurance laws of Massachusetts, (D) make a good and Exchange Act sufficient provision for all unmatured obligations of JHLIC guaranteed under the terms of the policies included in such items, (E) are computed on the basis of assumptions consistent with those used in computing the corresponding items in the Annual Statement as of the preceding year end (except as required or permitted under applicable regulations of the Insurance Department of the Commonwealth of Massachusetts) and (F) include provision for all actuarial reserves and related statement items which ought to be established; and (ii) the audited statutory basis statements of financial position of JHLIC as of December 31, 1999 and the related summary of operations and changes in policyholders' contingency reserves and statement of cash flows for the fiscal year then ended, reported on by Ernst & Young, a copy of which has been, in each case, delivered or made available to each of the Banks, fairly present, in conformity with generally accepted accounting principles (“GAAP”) applied on a consistent basis during GAAP and reporting practices prescribed or permitted by insurance regulatory authorities, the periods involved; the other financial and statistical data with respect to the Company position of JHLIC at such date and the Subsidiaries (as defined below) contained or incorporated by reference results of operations and changes in the Registration Statement, the Prospectus policyholders' contingency reserves and the Issuer Free Writing Prospectuses, if any, are accurately and fairly presented and prepared in all material respects on a basis consistent with the financial statements and books and records cash flows of the Company; there are no financial statements (historical or pro forma) that are required to be included or incorporated by reference in the Registration Statement, or the Prospectus that are not included or incorporated by reference as required; the Company and the Subsidiaries (as defined below) do not have any material liabilities or obligations, direct or contingent (including any off-balance sheet obligations), not described in the Registration Statement (excluding the exhibits thereto), and the Prospectus; and all disclosures contained or incorporated by reference in the Registration Statement, the Prospectus and the Issuer Free Writing Prospectuses, if any, regarding “non-GAAP financial measures” (as JHLIC for such term is defined by the rules and regulations of the Commission) comply in all material respects with Regulation G of the Exchange Act and Item 10 of Regulation S-K under the Securities Act, to the extent applicableyear.
