Common use of Financial Advisor Clause in Contracts

Financial Advisor. No broker, finder, investment banker, or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares based upon arrangements made by or on behalf of Stockholder in its capacity as such.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchParent.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchany of the Acquired Corporations.

Financial Advisor. No broker, finder, investment banker, banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent, Sub or the Company in connection with Stockholder tendering the Owned Shares this Agreement based upon arrangements any arrangement or agreement made by or on behalf of Stockholder in its Stockholder’s capacity as such.

Financial Advisor. No broker, finder, investment banker, banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent or the Company in connection with Stockholder tendering the Owned Shares this Agreement based upon arrangements any arrangement or agreement made by or on behalf of Stockholder Shareholder in its Shareholder’s capacity as such.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company.

Financial Advisor. No broker, finder, investment banker, financial advisor or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from commission, or the Company reimbursement of expenses in connection therewith, in connection with Stockholder tendering the Owned Shares transactions contemplated hereby based upon arrangements made by or on behalf of Stockholder in its capacity as suchSeller.

Financial Advisor. No Except for ▇▇▇▇▇▇▇▇ ▇▇▇▇▇, no broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Offer or the Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, brokerage or finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Merger or any of the other transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s 's or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Merger or the transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchParent.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from any of the Company Key Stockholders in connection with Stockholder tendering the Owned Shares Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchParent or Merger Sub.

Financial Advisor. No agent, broker, finder, financial advisor or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering this Agreement or the Owned Shares Merger based upon arrangements made by or on behalf of Stockholder in Parent or any of its capacity as suchSubsidiaries.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, brokerage or finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions or any of the other transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchSeller.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s 's or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in Parent or its capacity as suchAffiliates, other than such fees payable by Parent or its Affiliates.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchsuch Person.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, brokerage or finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Acquisition or any of the other transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchany of the Sellers or any member of the Target Group.

Financial Advisor. No broker, finder, investment banker, financial advisor or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchPurchaser.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchany Seller Group Party.

Financial Advisor. No Except for H▇▇▇▇▇▇▇ L▇▇▇▇, no broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Offer or the Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company.

Financial Advisor. No broker, finder, investment banker, financial advisor or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from commission, or the Company reimbursement of expenses in connection therewith, in connection with Stockholder tendering the Owned Shares Blocker Contribution and Exchange based upon arrangements made by or on behalf of Stockholder in its capacity as suchsuch Blocker Holder.

Financial Advisor. No broker, finder, investment banker, financial advisor, or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from commission, or the Company reimbursement of expenses in connection therewith, in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company or any Subsidiary of the Company.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, brokerage or finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Acquisition or any of the other transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Seller or the Company.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s 's or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Merger or any of the other transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchany of the Company's.

Financial Advisor. No Except for the Company Financial Advisor, no broker, finder, investment banker, financial advisor or other Person is entitled to any brokerage, finder’s, financial advisor’s advisory or other similar fee or commission from commission, or the Company reimbursement of expenses in connection therewith, in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company.

Financial Advisor. No broker, finder, investment banker, banker or other Person is entitled to any brokerage, brokerage or finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchany Acquired Company.

Financial Advisor. No broker, finder, investment banker, banker or other Person is entitled to any brokerage, brokerage or finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Seller.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Arrangement or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchany of the 410 Holdings Acquired Corporations.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares based upon arrangements made by or on behalf of Stockholder Buyer or any Merger Subsidiary in its capacity as suchrespect of any of the transactions contemplated hereby.

Financial Advisor. No Except with respect to ▇▇▇▇▇ ▇▇▇▇▇▇▇, no broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transaction based upon arrangements made by or on behalf of Stockholder in its capacity as suchSellers.

Financial Advisor. No broker, finder, investment banker, banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent, Purchaser or the Company in connection with Stockholder tendering the Owned Shares this Agreement based upon arrangements any arrangement or agreement made by or on behalf of Stockholder in its Stockholder’s capacity as such.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchSeller.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from commission, or the Company reimbursement of expenses in connection therewith, in connection with Stockholder tendering the Owned Shares transactions contemplated hereby based upon arrangements made by or on behalf of Stockholder in its capacity as suchPurchaser.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s 's or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in the Purchaser or its capacity as suchaffiliates.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchTransferor.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Mergers or any of the other Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in ▇▇▇▇▇▇▇ or any of its capacity as suchSubsidiaries, other than any broker, finder or investment banker whose fees will be paid for by ▇▇▇▇▇▇▇.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares based upon arrangements made by or on behalf of Stockholder Buyer or Transitory Subsidiary in its capacity as suchrespect of any of the transactions contemplated hereby.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s 's or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Merger or any of the other transactions contemplated by this Agreement based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Company or any Company Stockholder.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Contemplated Transactions based upon arrangements made by or on behalf of Stockholder in its capacity any Target Company or the Owners except as suchdisclosed on Part 3.20 of the Target Company Disclosure Schedule.

Financial Advisor. No broker, finder, finder or investment banker, or other Person banker is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchthe Purchaser.

Financial Advisor. No broker, finder, investment banker, financial advisor, or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from commission, or the Company reimbursement of expenses in connection therewith, in connection with Stockholder tendering the Owned Shares Transactions based upon arrangements made by or on behalf of Stockholder in its capacity as suchsuch ▇▇▇▇▇▇.
