Common use of Final Permits Clause in Contracts

Final Permits. Seller shall provide Purchaser copies of all Permits issued to Seller or the Project after the Execution Date by the applicable Governmental Authority. Each such issued Permit will be deemed sufficient to satisfy the conditions set forth in Section 6.1.10 and Section 6.4.5 if it (a) is, or will be on the Firm Date or Closing Date, as applicable, valid, binding, or in full force and effect, (b) is not conditioned on any future payments after the Closing that are not Excluded Liabilities, and (c) does not restrict the use, performance, or output of the Project as currently contemplated or has or would reasonably be expected to have an adverse and material effect on the capacity, availability, operations (including costs of operations), maintenance (including the cost of maintenance), reliability, schedule, or safety (including safety of construction) of the Project.
