Common use of Final Accounting Clause in Contracts

Final Accounting. Each of the Partners shall be furnished with a statement examined by the Partnership's independent accountants, which shall set forth the assets and liabilities of the Partnership as of the date of the complete liquidation. Upon the compliance by the General Partner with the foregoing distribution plan, the Limited Partners shall cease to be such, and the General Partner, as the sole remaining Partner of the Partnership, shall execute and cause to be filed a Certificate of Cancellation of the Partnership and any and all other documents necessary with respect to termination and cancellation of the Partnership.

Final Accounting. Each of the Partners shall be furnished with a statement examined by the Partnership's ’s independent accountants, which shall set forth the assets and liabilities of the Partnership as of the date of the complete liquidation. Upon the compliance by the winding-up General Partner or Limited Partners with the foregoing distribution planplan set forth in Section 10.2, the Limited Partners shall cease to be such, limited partners and the liquidator (whether a General Partner, as the sole remaining Partner Limited Partner, or any representative of the Partnership, foregoing) shall execute and cause to be filed a Certificate certificate of Cancellation cancellation of the certificate of limited partnership of the Partnership and any and all other documents necessary with respect to such termination and cancellation as provided in Section 2.03 of the PartnershipAct.

Upon the compliance by the General Partner (or its successor) with the foregoing distribution planterms and conditions of this Article XI, the remaining General Partner of the Partnership or liquidating trustee, if any, or, if none, a majority in interest of the Limited Partners shall cease to be such, and the General Partner, as the sole remaining Partner of the Partnership, shall execute and cause to be filed a Certificate of Cancellation of the Partnership and any and all other documents necessary with respect to termination and cancellation of the Partnership.
