Common use of Filing and Recording Taxes Clause in Contracts

Filing and Recording Taxes. All transfer taxes, deed stamps, intangible taxes or other amounts in the nature of transfer taxes required to be paid by any Person under applicable Legal Requirements in connection with the transfer of the Project to the Borrower have been paid. All mortgage, mortgage recording, stamp, intangible or other similar taxes required to be paid by any Person under applicable Legal Requirements in connection with the execution, delivery, recordation, filing, registration, perfection or enforcement of any of the Borrower Loan Documents and the Funding Loan Documents have been or will be paid.

All transfer taxes, deed stamps, intangible taxes or other amounts in the nature of transfer taxes required to be paid by any Person under applicable Legal Requirements currently in effect in connection with the transfer of the Project Properties to the Borrower have been paid. All mortgage, mortgage recording, stamp, intangible or other similar taxes tax required to be paid by any Person under applicable Legal Requirements currently in effect in connection with the execution, delivery, recordation, filing, registration, perfection or enforcement of any of the Borrower Loan Documents and Documents, including, without limitation, the Funding Loan Documents Security Instruments, have been or will be paid.

All mortgage, mortgage recording, stamp, intangible paid in full or other similar taxes required to be paid by any Person under applicable Legal Requirements in connection deposited with the execution, delivery, recordation, filing, registration, perfection or enforcement issuer of any a Qualified Title Insurance Policy for payment upon recordation of the Borrower Loan Documents and the Funding Loan Documents have been or will be paiddeeds effecting such transfer.
