Operator shall use its best judgment in making any of the filings, and preparing any of the notices, reports and applications referred to above. However, in no event shall Operator have any liability to any Non-Operator in making and prosecuting any such filing or in rendering any notice, report or application, absent bad faith, gross negligence or wilful misconduct. Any penalties incurred as a result of any incorrect filing, notice, report or application shall, in absence of bad faith, gross negligence or wilful misconduct, be charged to the Parties owning the production to which the penalty pertains.
