FERC Certification Sample Clauses
FERC Certification. All notices and related filings (a) complying with the requirements of 18 C.F.R. Part 365 have been duly filed with the FERC and (b) complying with the requirements of 17 C.F.R. Section 250.7(d) have been duly filed with the Securities and Exchange Commission; and copies of all such notices and filings shall have been delivered to the Owner Participant, the Owner Trust and the Indenture Trustee, and neither the FERC nor the Securities and Exchange Commission shall have rescinded any of their respective orders or otherwise imposed a burdensome requirement on the Owner Participant, the Owner Trust or the Indenture Trustee.
FERC Certification. Prior to the Closing, the Seller shall file with the Federal Energy Regulatory Commission a FERC Form 556 self certification that the following projects meet the criteria to be qualifying small power production facilities pursuant to 18 C.F.R. § 292.207: (i) the Mosinee Hydroelectric Project No. P-2207 and (ii) the Rhinelander Hydroelectric Project No. P-2161.

FERC Certification. Any utility or other entity or asset subject to regulation under the FPA that is constructed, operated or owned (directly or indirectly) by KiOR or any of its subsidiaries shall be either an exempt wholesale generator or a qualifying facility (as such terms are defined under applicable law), and KiOR will maintain, or will cause the downstream owner or operator of such utility, entity or asset to maintain, a certification with the Federal Energy Regulatory Commission to that effect.
