Fees and Expenses of Brokers and Others. Seller is not committed to any liability for any brokers’ or finders’ fees or any similar fees in connection with the transactions contemplated hereby, and Seller has not retained any broker or other intermediary to act on its behalf in connection with the transactions contemplated by this Agreement.

None of the UNC Companies (a) has had any dealings, negotiations or communications with any broker or other intermediary in connection with the transactions contemplated by this Agreement, (b) is committed to any liability for any brokers' or finders' fees or any similar fees in connection with the transactions contemplated by this Agreement or (c) has retained any broker or other intermediary to act on its behalf in connection with the transactions contemplated by this Agreement, except that UNC has engaged X.X. Xxxxxx and Fieldstone Partners ("Fieldstone") to represent it in connection with such transactions, and shall pay all of X.X. Xxxxxx'x and Fieldstone's fees and expenses in connection with such engagement, up to a maximum amount of fees not to exceed $4.0 million in the aggregate. Greenwich shall have no responsibility for any of such fees or expenses.
