Common use of Fee Clause in Contracts

Fee. In consideration of your services in offering advice relating to the structure, design and organization of the Fund and/or the distribution of its Common Shares, which services may be completed by your affiliate in your sole discretion, the Company shall pay a fee to you in the aggregate amount of $20,732.50 (the “Fee”). The Fee shall be paid following the Closing Date on or before May 27, 2016. The payment shall be made by wire transfer to the order of Maxim Group LLC. The Company acknowledges that the Fee is in addition to any compensation you earn in connection with your role as an underwriter to the Fund in the Offering, which services are distinct from and in addition to the marketing and structuring services described above. In the event the Offering does not proceed, you will not receive any fees under this Agreement; however, for the avoidance of doubt, accountable expenses actually incurred may be payable to you pursuant to the terms of the Underwriting Agreement.

Fee.
