Common use of Fee Limitation Clause in Contracts

Fee Limitation. The Purchaser covenants that it will limit “Other Expenses” of the Acquiring Fund (excluding any interest, taxes, brokerage fees, short sale dividend and interest expenses and non-routine expenses) as a percentage of net assets attributable to common shares of the Acquiring Fund to 0.25% per annum of the Acquiring Fund’s average daily net assets for twelve months following the Closing and then 0.35% until June 30, 2025.

Fee Limitation. The Purchaser covenants that it will limit “Other Expenses” the total ordinary operating expenses of the Acquiring Fund following the consummation of the Reorganization (excluding any leverage costs, interest, taxes, brokerage feescommissions, short sale dividend acquired fund fees and interest expenses and any non-routine expenses) as a percentage from exceeding 1.65% of the average daily net assets attributable to common shares of the Acquiring Fund to 0.25% per annum of the Acquiring Fund’s average daily net assets on an annualized basis for twelve months following the Closing and then 0.35% until Closing, or June 30, 2025, whichever is later.
