Common use of Failure to Deliver Certificate Clause in Contracts

Failure to Deliver Certificate. If Tenant fails to deliver such statement within the time period referred to in Section 17.4 above, it shall be deemed conclusive upon Tenant that the (a) this Lease is unmodified and in full force and effect, (b) this Lease constitutes the entire agreement between Landlord and Tenant with respect to the Premises and, except as set forth in this Lease, Tenant does not claim any right, title, or interest in or to the Premises, or any part thereof, (c) there are no uncured defaults in Landlord's performance of Landlord's obligations under this Lease, and (d) not more than one month's Monthly Base Rent has been paid in advance.

If Tenant fails to deliver such statement within the time period referred to in Section 17.4 13.4 above, it Tenant shall be in default without further notice and Tenant shall conclusively and irrevocably be deemed conclusive upon Tenant to have certified that the (a) this Lease is unmodified and is in full force and effect, (b) this Lease constitutes the entire agreement between together with any written amendments executed by Landlord and Tenant with respect to constitute the Premises andentire agreement, except as set forth in this Lease, (c) Tenant does not claim any right, title, or interest in or to the Premises, or any part thereof, and (cd) there are no uncured defaults in Landlord's ’s performance of Landlord's ’s obligations under this Lease, and (d) not more than one month's Monthly Base Rent has been paid in advance.
