Facility No. 2. Borrower hereby agrees that as of April 1, 2003 the interest rate payable with respect to any outstanding loans under Facility No. 2 shall be the Prime Rate plus the Prime Rate Margin.

(a) During the availability period described below, the Bank will provide a line of credit to the Borrower. The maximum amount of the line of credit (the “Facility No. 1 Commitment”) shall be $15,000,000.
(b) Facility No. 1 is a revolving line of credit. During the availability period, the Borrower may repay principal amounts and reborrow them.
(c) The Borrower agrees not to permit the principal balance of Facility No. 1 outstanding to exceed the Facility No. 1 Commitment at any time. If the principal balance of Facility No. 1 exceeds this limit, the Borrower will promptly pay the excess to the Bank upon the Bank’s demand.
