Facilities Management. A full range of facilities management services, which include, without limitation, managing all of the facilities that Service Recipients occupy. This includes responsibility for planning, managing and administering leases, workspace allocations and designs, leasehold improvements, internal moves, and maintenance and security.

Where such agreement is renewed for an additional renewal term, OSI shall be entitled to an additional license fee equal to [**] of the difference, if any, between the License Fee payable by a similarly situated Financial Institution as of the date of such renewal and the License Fee payable by a similarly situated Financial Institution as of the date of the agreement. Such additional license fee, if any, shall be payable by BISYS over the renewal term of the agreement, not to exceed five years. Payments shall commence on the first day of each month following the renewal date and thereafter until paid in full unless the agreement shall earlier terminate and BISYS is no longer an Outsourcing Services provider or Facilities Manager to such Customer.

This includes: • Reception Services; • Reprographics and Print; • Post room & Couriers; • Catering – kitchen, coffee shops, hospitality; • Vending; • Cashless vending; • Engineering – planned maintenance, reactive maintenance, building fire detection and protection; • Utilities – electricity, water, air conditioning; • Off site archiving; • Off site storage; • New furniture supplies; • Corporate stationery; • Desktop stationery; • Taxi account management; • Staff removal / relocations; • Cable TV supply; • AV installation, changes and maintenance; • Office cleaning; • Access control and CCTV; • Building fabric repair and maintenance; • Health & Safety; and • Business Continuity Management.
Facilities Management. Procure and maintain office and facility space for the Company's administrative and operational functions; provide janitorial and maintenance services; arrange the procurement, installation, and maintenance of telephones, computers, telecopiers and other business equipment required by the Company.

Facilities Management. To the extent requested by the Operating Committee, WFHM will provide facilities management services for the office locations used by the Venture including supplying office equipment, and arranging long distance service.

The Management Company shall provide or arrange for the provision of all facilities management services, including, without limitation, the negotiation of real or personal property leases, repairs, maintenance and improvements, procurement of property insurance, utility services (including telephone, electric, gas and water), janitorial services and refuse disposal. The forms, terms and provisions of all material contracts, agreements, instruments and other documentation related thereto shall be subject to the prior written approval of the Medical Group;

CUSTOMER SUPPORT The Company offers its customers both a general maintenance plan and an extended service option, called the Enhanced Support Program ("ESP"). Maintenance fees, including ESP, were $57.1 million, $48.7 million and $41.5 million, or 19.7%. 20.4% and 22.6% of total revenues, during fiscal years 1998, 1997 and 1996, respectively.
