Common use of External Terms Clause in Contracts

External Terms. If Contractor will provide any software under the Agreement, the terms and conditions of the Agreement completely supplant, replace, and override all other terms and conditions concerning Contractor’s license of software to UTMB and/or Contractor’s provision of any other goods or services to the UTMB under the Agreement (“External Terms”). External Terms will have no effect, regardless of whether UTMB or any person or entity expresses assent or agreement to such External Terms. External Terms include any shrinkwrap, clickwrap, browsewrap, electronic terms and conditions of use displayed via the Internet, or other similar terms and conditions displayed in any form that must be agreed to by UTMB or any other person or entity in order to access or use the software or any other goods or services provided by Contractor under the Agreement.
