Common use of Expiration of Representations and Warranties Clause in Contracts

Expiration of Representations and Warranties. Each representation and warranty of Buyer and Seller made pursuant to this Agreement shall survive for a period of twelve (12) months following transfer regardless of any investigation made at any time by or on behalf of either party, and thereafter neither party may make any claim for any breach of such representations and warranties.
