Expenses, Transfer Taxes, Etc. Except as otherwise provided in ----------------------------- Sections 2.02 and 11.02 hereof, whether or not the transaction contemplated by this Agreement shall be consummated, the Shareholders and the Company agree that all fees and expenses incurred by them in connection with this Agreement shall be borne by them and Acquiror agrees that all fees and expenses incurred by it in connection with this Agreement shall be borne by it, including, without limitation as to the Company or Acquiror, all fees of counsel, actuaries and accountants.
