Whether or not the transactions contemplated by this Agreement shall be consummated, except as otherwise expressly provided herein, all fees and expenses (including all fees of counsel, actuaries and accountants) incurred by either Party in connection with the negotiation and execution of this Agreement shall be borne by such Party, provided, however, that SEL shall pay, or cause to be paid all applicable transfer taxes and recording fees.
