Common use of Expenses of Directors Clause in Contracts

Expenses of Directors. The Company shall promptly reimburse in full each director of the Company who is not an employee of the Company and who was elected as a director solely or in part by the holders of Series B Preferred for all of his reasonable out-of-pocket expenses incurred in attending each meeting of the Board of Directors of the Company or any committee thereof.

The Company shall promptly reimburse in full each director of the Company who is not an employee of the Company and who was elected as a director solely or in part by the holders of Series B A Preferred Stock for all of his reasonable out-of-pocket expenses incurred (a) in attending each meeting of the Board of Directors of the Company or any committee thereofthereof and (b) subject to the prior approval of the Board of Directors of the Company, when otherwise acting on behalf of the Company.
