Expenses of Directors. The Company shall promptly reimburse in full, each director of the Company who is not an employee of the Company for all of his reasonable out-of-pocket expenses incurred in attending each meeting of the Board of Directors of the Company or any Committee thereof.

Expenses of Directors. The Directors may be paid all travelling, hotel and other expenses properly incurred by them in connection with their attendance at meetings of Directors or committees of Directors or general meetings or separate meetings of the Holders of any class of Shares or of debentures of the Company or otherwise in connection with the discharge of their duties.
Expenses of Directors. All reasonable expenses of the Directors incurred in the performance of their duties, such as traveling expenses to attend Directors' meetings, may be chargeable to the Plan at the discretion of the Directors. All other expenses incurred pursuant to Article IV hereof shall be paid by the Plan.
