Expenses and Reimbursement. The Legal Services expenses (the "Legal Services Expenses") for which Van Kampen may be reimbursed are salary and salary related xxxxxxxx, including but not limited to bonuses, group insurance and other regular wages paid to the personnel of the Legal Services Group. Each member of the Legal Services Group will complete as of the last business day of each month, a time allocation sheet indicating the monthly time spent (reflected as a percentage) on matters relating to the Funds, on matters relating to other funds for which Van Kampen or its subsidiaries act as investment adviser and xxxxxxxutor ("Van Kampen Non-Participating Funds") and for other matters. Xxx xxxxegate of time spent on matters for the Funds and Van Kampen Non-Participating Funds is referred to herein ax xxx "Xxxx Percentage". Each member's Fund Percentage shall be multiplied by each member's individual Legal Service Expense; the resulting product for each member shall then be aggregated to arrive at the Legal Services Expenses that can be allocated as set forth in Paragraph 4 ("Allocable Legal Services Expenses"). The Legal Services Expenses will be paid by Van Kampen (or the affiliate of Van Kampen employing such Legal Xxxxices Group persons) anx xxxx xxxtion of such Legal Services Expenses allocated to the Funds as set forth in Paragraph 4 shall be reimbursed by the Funds. Van Kampen will tender to each Fund a monthly invoice withxx xxxx xxsiness days of the last business day of each month which shall certify the total Legal Service Expenses expended and allocated to such Fund. Except as provided herein, Van Kampen will receive no other compensation in connectiox xxxx Xxxal Services rendered in accordance with this Agreement, and Van Kampen and its affiliates will be responsible for all xxxxx xxxxnses relating to the providing of Legal Services.

Van Xxxxxx xxxl tender to each Fund a monthly invoice as of the last business day of each month which shall certify the total Legal Service Expenses expended. Except as provided herein, Van Xxxxxx xxxl receive no other compensation in connection with Legal Services rendered in accordance with this Agreement, and Van Xxxxxx xxxl be responsible for all other expenses relating to the providing of Legal Services.
Expenses and Reimbursement. The Employee shall be reimbursed by the Company for reasonable and necessary out-of-pocket expenses incurred by the Employee in performing his duties hereunder, provided such expenses are approved in accordance with the procedures of the Company then in effect and are presented for reimbursement in accordance with the Company's policies and practices then in effect.
Expenses and Reimbursement. The Company shall be responsible for all expenses, costs and liabilities arising from the management, organization or operation of the Company in accordance with this Agreement. The Sole Member and the Manager (if different from the Sole Member) shall be entitled to receive prompt reimbursement from the Company to the extent, if any, that they incur any such management expenses, unless such management expenses arose from a material violation of this Agreement, gross negligence, willful misconduct or a knowing violation of criminal law.

Typical expenses include, but are not limited to, postage, overnight delivery, telephone and travel. Not later than two days before the Offering closing, Xxxxxx Xxxxxxxx will provide the Company with a detailed accounting of all reimbursable expenses of Xxxxxx Xxxxxxxx, to be paid at closing.
Expenses and Reimbursement. The Pledgor undertakes to pay to the Pledgee all cost and expenses incurred in relation to this Agreement and the relationship established under this Agreement in accordance with the terms set out in clause 17 (Costs and Expenses) of the Facilities Agreement.

During the Employment Period, the Company shall reimburse Employee for all ordinary and reasonable expenses incurred by him in the course of performing his duties and responsibilities under this Agreement, but only in a manner that is consistent with the Company’s policies in effect from time to time with respect to travel and other business expenses, and subject to the Company’s requirements with respect to reporting and documentation of such expenses (including preapproval of travel expenses) as well as its reimbursement practices.

The department may approve reimbursement for expenses incurred in nurse initiated training: 1. 75% of the tuition or registration costs.
Expenses and Reimbursement. Any expenses related to travel will be the responsibility of the Contractor and City shall not reimburse Contractor for any travel-related expenses.

The Company will bear all of its expenses in connection with the Conversion and Offering of Common Stock including, but not limited to: appraisal and business plan preparation; the Company’s attorney fees; SEC and FINRA filing fees; “blue sky” legal fees and state filing fees; fees and expenses of service providers such as transfer agent, information/data processing agent, financial and stock certificate printers, auditors and accountants; advertising; postage; “road show” and other syndicated community offering costs; and all costs of operating the Stock Information Center, including hiring temporary personnel, if necessary. In the event Sxxxxx Xxxxxxxx incurs such expenses on behalf of the Company, the Company shall reimburse Sxxxxx Xxxxxxxx for such reasonable fees and expenses regardless of whether the Offering is successfully completed. The Company also agrees to reimburse Sxxxxx Xxxxxxxx for its reasonable out-of-pocket expenses, including legal fees and expenses, incurred by Sxxxxx Xxxxxxxx in connection with the services contemplated hereunder. In the subscription, community and syndicated community offerings, Sxxxxx Xxxxxxxx will not incur legal fees (excluding the reasonable out-of-pocket expenses of counsel) in excess of $100,000. Sxxxxx Xxxxxxxx will not incur actual accountable reimbursable out-of-pocket expenses reasonably incurred in excess of $25,000 in the subscription and community offering and in excess of $45,000 in the syndicated community offering. The parties acknowledge, however, that such cap may be increased by the mutual consent of the Company and Sxxxxx Xxxxxxxx, including in the event of a material delay in the Offering which would require an update of the financial information in tabular form to reflect a period later than that set forth in the original filing of the offering document; provided that under such circumstances, Sxxxxx Xxxxxxxx will not incur any additional accountable reimbursable out-of-pocket expenses in excess of $10,000 or additional reimbursable legal fees in excess of $20,000 and that the aggregate of all reimbursable expenses and legal fees shall not exceed $200,000. Not later than two days before closing, Sxxxxx Xxxxxxxx will provide the Company with a detailed accounting of all reimbursable expenses of Sxxxxx Xxxxxxxx and its counsel to be paid at closing.
