Existing Purchase Orders. Newco shall continue to honor the terms and conditions of all third party purchase orders as provided in the Asset Purchase Agreement. 1 These two attachments will be provided by Spectrian not later than December 10, and will ensure that Spectrian satisfies the Minimum Commitment for the initial calendar quarter. Existing Purchase Orders. In the event that Distributor exercises its right of termination under this section, purchase orders issued by Distributor and accepted by Supplier prior to termination shall remain valid and enforceable and Supplier and Distributor shall continue to be bound thereby and by the terms of this Agreement with respect to such purchase orders. Existing Purchase Orders. The Parties agree that all Purchase Orders issued by Spectrum on or prior to the Second Amendment Effective Date are hereby cancelled, and Spectrum shall have no obligation to purchase any Product or pay any amounts to Hanmi pursuant to any such Purchase Orders. To the extent Hanmi has any existing Product in inventory manufactured pursuant to any such Purchase Orders, Hanmi will ship any or all such inventory to Spectrum at any time at Spectrum’s request, provided that Hanmi’s obligation to store such existing Product shall terminate on the expiration date of the existing Product.
Existing Purchase Orders. SAC shall complete manufacture of and JASPER shall take delivery of and pay for all PRODUCTS subject to purchase orders which were accepted by SAC on or prior to the effective date of expiration or termination.
